EASTPACK SATARA LIMITED and SATARA CO-OPERATIVE GROUP LIMITED

Public Notice of Proposed Amalgamation

Pursuant to Section 221(4) of the Companies Act 1993

The boards of directors of EASTPACK SATARA LIMITED (Company No.: 4256478) (“EastPack Sub”) (a wholly owned subsidiary of EastPack Limited) and SATARA CO-OPERATIVE GROUP LIMITED (Company No.: 192134) (“Satara”) give notice that EastPack Sub and Satara propose to amalgamate pursuant to an amalgamation proposal prepared under section 220 of the Companies Act 1993.

The amalgamation is subject to conditions specified in the amalgamation proposal including the approval of shareholders (and interest groups) of Satara by special resolution and the approval of shareholders of EastPack Limited to the amalgamation by special resolution and to certain implementation matters by ordinary resolution, each of which will be put to separate meetings of shareholders of Satara and EastPack Limited on 22 February 2013.

If all of the conditions of the amalgamation proposal are satisfied or waived in accordance with its terms, the amalgamation will take effect on 15 March 2013 and EastPack Sub will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Satara or EastPack Sub or any person to whom either Satara or EastPack Sub are under an obligation at the registered offices of Satara or EastPack Sub (detailed below) during normal business hours.

Any shareholder or creditor of either Satara or EastPack Sub or any person to whom Satara or EastPack Sub is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the registered office of that amalgamating company (detailed below).

Charitable Trusts Act Notices

Notice of Application for Approval of a Scheme of Variation

CIV-2012-483-101

In the matter of the Charitable Trusts Act 1957, and in the matter of a charitable trust established by the will of the late George Powell:

This is to give notice that on 11 March 2013 at 10.00am, Public Trust will ask the High Court at Wellington for an order, under Part 3 of the Charitable Trusts Act 1957, varying the trust created by the last will of George Powell, late of Karioi (deceased).

The effect of the proposed variation will be that:

(a) the assets of the trust will be held for the assistance, development and undertaking of agricultural education in New Zealand with preference given to disadvantaged youth from the wider Wanganui region for education in farming, agriculture or horticulture through theory and/or practical experience.

(b) the current unexpended income of the trust which has accumulated will be added to the capital of the trust.

(c) at the trustee’s discretion to carry forward unexpended income in any year to a future year or years. The trustee may also set aside from income a reserve to meet fluctuations of income in future years and other contingencies.

Any person who wishes to oppose the variation must give seven days’ notice in writing of their intention to do so to:

(a) the Registrar of the High Court at Wellington;

(b) Public Trust, PO Box 429, Hamilton 3240 (Attention: Henry Stokes); and

(c) the Attorney-General, Crown Law Office, PO Box 2858, Wellington 6140.
