Fonterra Co-operative Group Limited

Notice of Fonterra Shareholders’ Council 2007 Elections

Pursuant to section 3 of the Companies Act 1993, notice is hereby given that the following shareholders’ council elections will be held in 2007 for the Fonterra Co-operative Group Limited.

Shareholders’ Council (35 wards):

Election of one councillor in each ward.

Invitation for Candidate Nominations

Nominations are called for candidates to stand for the one councillor position in each of the 35 wards.
Fonterra shareholders are eligible to stand.
Nomination forms and candidate information packs can be obtained from the returning officer.
Nominations must be received by the returning officer by 12.00 midday on Monday, 12 February 2007.

Elections

Voter packs will be posted out to shareholders on Wednesday, 28 February 2007.
The elections will be conducted by postal, facsimile and internet voting, using the Single Transferable Vote (STV) voting system.
Completed voting papers must be returned to the returning officer by 12.00 midday on Thursday, 22 March 2007.

Pursuant to the Insurance Companies’ Deposits Act 1953

The Mercantile and General Reinsurance Company of Australia Limited (hereinafter called "the company") has given notice to Public Trust that it has ceased to carry on the business of insurance in New Zealand and that it proposes to withdraw, pursuant to section 19 of the Act, the deposit which has been made by it with Public Trust.
Public Trust therefore gives notice, pursuant to section 19(3) of the Act, that being satisfied that all liabilities of the company in New Zealand in respect of such insurance business have been fully liquidated or provided for it proposes to release to the company on or after 20 February
