Notice of Proposed Amalgamation

Notice is hereby given, pursuant to section 221(4) of the
Companies Act 1993, that:

The boards of directors of WPP Holdings (New Zealand)
Limited and Grey Worldwide New Zealand Limited
(being "the amalgamating companies") have resolved
to amalgamate and continue as WPP Holdings
New Zealand) Limited ("the amalgamated company").

Further, all rights accruing to and all obligations and
liabilities owing by either of the amalgamating companies
will, upon amalgamation, become vested in the amalgamated
company.

The date the proposed amalgamation is intended to become
effective is 31 January 2008 (being not less than 20 working
days from the date of this notice).

Copies of the amalgamation proposal are available for
inspection by any shareholder or creditor of an amalgamating
company, or any person to whom an amalgamating company
is under an obligation, at the registered offices of the
amalgamating companies during normal business hours.

Any shareholder or creditor of an amalgamating company, or
any person to whom an amalgamating company is under an
obligation, is entitled to be supplied free of charge with
a copy of the amalgamation proposal upon request to an
amalgamating company.

Notice of Approval of a Scheme

In the matter of an application to approve a scheme under
Part III of the Charitable Trusts Act 1957:

Take notice that on 26 February 2008 at 10.00am, the trustees
of the estate of Joseph Peter Cooper (formerly of Taihape)
will move the High Court at Wellington for an order that
a scheme be approved which varies and extends the powers
of the trustees so as to allow the sale of the farming
property situated near Taihape and known as section 7(7) of
Block IX Ohinewairua Survey District, and investment of the
proceeds.

Any person desiring to oppose the scheme must give written
notice of such intention to oppose to the Registrar of the
High Court at Wellington and to the Attorney-General and
to the trustees (c/o Flack Brown & Co, Solicitors, PO Box
23, Taihape) at least seven clear days before 26 February
2008.
