Notice of Resolution for Members Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of Coomar Holdings Ltd.

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 2nd day of August 1990, the following-named special resolutions were passed by the company, namely:

"That by reason of all trading activities of the company having ceased, that the company, having filed a declaration of solvency, be wound up voluntarily.

That Rowan S. Kingstone and Bruce G. Murdoch, chartered accountants, be and are hereby appointed liquidators."

Notice to Creditors to Prove Debts or Claims

Furthermore, the liquidators hereby fix the 21st day of August 1990, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Notice of Meeting of Creditors Voluntary Winding Up

Pursuant to Sections 362 (8) and 284 (2) of the Companies Act 1955

Notice is given that on the 27th day of July 1990, by memorandum signed for the purpose of becoming an entry in the minute book of the company, the shareholders resolved that pursuant to section 268 (1) of the Companies Act 1955, the company cannot by reason of its liabilities continue its business and that it is advisable to wind up.

In the matter of the Companies Act 1955, and in the matter of Willis Investments Ltd. (in voluntary liquidation and members winding up):

That the members of the above-named company by way of entry in the company’s minute book, pursuant to section 362 of the Companies Act 1955, have on the 31st day of July 1990, passed the following special resolution:

That the company be wound up voluntarily and that John Lindsay Joseph be appointed liquidator for the purposes of such winding up.

A. Notice of Resolution for Voluntary Winding Up

Notice is hereby given that the following extraordinary resolutions have been passed at an extraordinary general meeting of shareholders of The Morrinsville - Thames Valley Co-operative Dairy Co. Ltd. held on the 26th day of July 1990.

1. As an extraordinary resolution:

"That the company confirm the resolution passed on the 25th day of June 1990 that the company proceed with the proposed sale of the whole of its business and property to Waikato Valley Co-operative Dairies Ltd in accordance with the proposal set out in the detailed statement (as amended) which had been forwarded to each member of the company, and that the requisite procedures specified in section 24A of the Co-operative Dairy Companies Act 1949, be followed."

2. As a special resolution:

"That the company be wound up voluntarily and that C. J. Davis of Cambridge, company secretary, be appointed liquidator for the purpose of winding up the affairs of the company and that the liquidator be authorised to receive in compensation for the transfer of the assets of the company to Waikato Valley Co-operative Dairies Ltd, shares in that company for distribution among the members of this company or to enter into any other arrangement by which the members of this company may, in lieu of receiving shares, or in addition thereto, participate in the profits or receive any other benefit from Waikato Valley Co-operative Dairies Ltd."

B. Notice to Prove Debts or Claims

Notice is also hereby given that the liquidator of The Morrinsville - Thames Valley Co-operative Dairy Co. Ltd, which is being wound up voluntarily fixes Friday, the 28th day of September 1990 as the day on or before which the creditors of the company are to prove their debts or claims and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, for objecting to the distribution.
