Notice of Resolution for Voluntary Winding Up and Proof of Debt

In the matter of the Companies Act 1955, and in the matter of Waikato Dairy Co-operative Ltd. (in voluntary liquidation):

A. Notice of Resolution for Voluntary Winding Up

Notice is hereby given that the following extraordinary resolutions passed at an extraordinary general meeting of shareholders of Waikato Dairy Co-operative Ltd. held on the 26th day of July 1990.

1. As an extraordinary resolution:

"That the company confirm the resolution passed on the 25th day of June 1990 that the company proceed with the proposed sale of the whole of its business and property to Waikato Valley Co-operative Dairies Ltd. in accordance with the proposal set out in the detailed statement (as amended) which had been forwarded to each member of the company, and that the requisite procedures specified in section 24a of the Co-operative Dairy Companies Act 1949, be followed."

2. As a special resolution:

"That the company be wound up voluntarily and that C. J. Davis of Cambridge, company secretary, be appointed liquidator for the purpose of winding up the affairs of the company and that for the liquidator be authorised to receive in compensation for the transfer of the assets of the company to Waikato Valley Co-operative Dairies Ltd., shares in that company for distribution among the members of this company or to enter into any other arrangement by which the members of this company may, in lieu of receiving shares, or in addition thereto, participate in the profits or receive any other benefit from Waikato Valley Co-operative Dairies Ltd."

B. Notice to Prove Debts or Claims

Notice is also hereby given that the liquidator of Waikato Dairy Co-operative Ltd., which is being wound up voluntarily fixes Friday, the 28th day of September 1990 as the day on or before which the creditors of the company are to prove their debts or claims and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or, as the case may be, for objecting to the distribution.

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 30th day of July 1990, the following special resolution was passed by the company, namely:

That the company be wound up voluntarily.

Advertisement of Appointment of Liquidator and Call for Proof of Debt

In the matter of the Companies Act 1955, and in the matter of Lumsden Timber Company Ltd.:

Pursuant to a resolution passed by the creditors of the company dated the 1st day of August 1990, C. P. Worth and R. S. McKnight of Dunedin, have been appointed liquidators of the above-named company with a committee of inspection.

Notice is hereby given that as the liquidators we fix the 18th day of August 1990, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, for objecting to the distribution.
