The application is to be heard before the High Court at Christchurch on Tuesday, the 7th day of February 1989 at 10 a.m.

Feltrax Steel Limited

Order Confirming Reduction of Capital

Notice is hereby given in accordance with section 78 (3) of the Companies Act 1955 (“the act”) that by way of an entry in its minute book signed in accordance with section 362 of the Act the above-named company on the 18th day of October 1988 passed a resolution in accordance with section 75 (1) (c) of the Act that its capital be reduced from $393,000,000 to $293,000,000, the amount of capital so reduced being in excess of the requirements of the company.

The High Court of New Zealand at Auckland on the 2nd day of November 1988 made the following order:

“Upon reading the ex parte notice of application for directions as to service and the ex parte notice of application for order confirming reduction of capital, approval of minute and publication of registration of order and approved minute and the statement of claim and the affidavit of Peter James Dale Stanes and the memorandum of counsel filed herein this court hereby orders:

  1. That the reduction of paid up capital approved by special resolution of the company on the 18th day of October 1988 be confirmed.

  2. That the following minute showing the amount of capital of the company be approved:

‘The capital of Feltrax Steel Limited is $293,000,000 divided into 293,000,000 fully paid ordinary shares of $1.00 each having been reduced from $393,000,000 divided into 393,000,000 ordinary shares of $1.00 each fully paid.’

  1. That notice of the registration of the order confirming reduction and the approved minute be published once in the New Zealand Gazette pursuant to section 78 (3).’

In accordance with section 78 (1) of the Act, the aforementioned order and minute were registered at the companies office, Auckland, on the 29th day of November 1988.
