RECITALS:
A. Certain law practitioners presently practising as members of the Auckland Society have resolved that they desire to join the Hamilton Society.
B. The Auckland Society and the Hamilton Society desire to alter the boundaries between their respective districts for the purpose of the resolution described in recital A.
C. The present district of the Auckland Society comprises the northern part of New Zealand which comprised the Northern Judicial District at the time of the abolition of the judicial districts in 1973.
D. The present district of the Hamilton Society comprises that part of New Zealand which comprised the Hamilton Judicial District at the time of the abolition of the judicial districts in 1973.
E. Pursuant to section 20 of the Law Practitioners Act 1982 the Auckland Society and the Hamilton Society agree in the manner provided for by this agreement.
And this agreement witnesses:

As from the date specified in clause 4 of this agreement the northern boundary of the Hamilton Society shall be altered so that from its most north-western point at the mouth of the Waikato River the boundary will extend eastwards by the Waikato River to the immediate north of Mercer; thence south-eastwards by a line proceeding from Mercer and passing to the immediate north of the towns of Paeroa and Waihi and thence continuing due east to the coast.

As from the date specified in clause 4 of this agreement the southern boundary of the Auckland Society shall be altered so that the district of the Auckland Society shall lie to the north of the northern boundary of the Hamilton Society as described in clause 1.

The altered boundary shall be for the purpose of further identification shown on a plan initialled by the Presidents of the Hamilton and Auckland Societies on the date of this agreement.

The date from which the alteration of the boundaries of the respective districts contained in this agreement shall take effect shall be the 1st day of February 1989.

This agreement is conditional upon the parties hereto complying with and satisfying the requirements of section 20(2) of the Law Practitioners Act 1982 and upon the signing of this agreement:
(a) Each party will with all reasonable expedition after the signing of this agreement give notice to its members calling a special general meeting for the purpose of voting on a resolution to ratify this agreement.
(b) Upon the agreement being ratified as provided in subclause (a), if shall be the case, the parties will cause a copy of this agreement and notice of the ratification of this agreement at such general meeting of each society to be published in the New Zealand Gazette in the first available edition thereof following such ratification.
In witness whereof this agreement has been executed the day and year first hereinbefore mentioned.

In the matter of the Law Practitioners Act 1982, and in the matter of an alteration to the boundaries pursuant to section 20 between the Auckland District Law Society and the Hamilton District Law Society, notice is given that at a special general meeting of members of the Hamilton District Law Society held on Friday, 16 September 1988, a copy of which is published with this notice, altering the boundaries of the districts of the Auckland District Law Society and the Hamilton District Law Society in accordance with the tenor of the agreement be ratified with such alteration to take effect from 1 February 1989.

An agreement made the 8th day of August 1988 between The Auckland District Law Society, a body corporate under the Law Practitioners Act 1982 (called "the Auckland Society") of the first part and The Hamilton District Law Society, a body corporate under the Law Practitioners Act 1982 (called "the Hamilton Society") of the second part.
