Before the Honourable Mr Justice Sinclair
UPON reading the ex parte motion for confirmation of reduction of capital and the affidavit of HAROLD MERVYN TITTER sworn and filed therein this Court hereby orders:

That the sum of $180,000 standing to the credit of the share premium account in the accounts of the company as at 31 March 1979 may be distributed to the holders of the ordinary shares in the capital of the company, namely Feltex New Zealand Limited (2,081,588 shares) and George Edward Pearce of Auckland, managing director (1 share held on trust for Feltex New Zealand Limited), by the shareholders declaring a distribution and debiting the share premium account of the company with the sum of $180,000 and crediting the capital reserves of Feltex New Zealand Limited with the same amount.

That it shall not be necessary for any minute relating to the distribution of the share premium account as above authorised to be produced to the Registrar of Companies pursuant to section 78 (1) of the Companies Act 1955 or to be registered pursuant to section 78 (2).
