IN THE MATTER of the Companies Act 1955, and IN THE MATTER
of MOTOR TRADERS (NZ) LIMITED a duly incorporated
company having its registered office at Auckland and
carrying on business as a holding company:
MONDAY THE 28TH DAY OF JULY 1975
Before the Honourable Mr Justice Mahon
UPON reading the ex parte motion for confirmation of reduction of capital dated the 14th day of July 1975 and the affidavit of PHILIP GEORGE MILLENER sworn and filed herein
this Court hereby orders that the sum of $1,539,302 standing
to the credit of share premium account in the books of
account of the company as at 31 July 1974 may be distributed
to the holders from time to time of the ordinary shares in
the capital of the company and further orders that the
distribution of the said amount may be effected at such
intervals and by a series of payments of such amounts (as
the directors of the company may from time to time determine) but that prior to making each such distribution the
directors shall transfer from the profits of the company to
a special reserve fund to be designated “Capital Replacement Fund” a sum equal to the amount to be distributed, such
fund not to be available for the payment of dividends nor
without the approval of the Court for distribution to shareholders but may be applied in paying up unissued shares
of the company as fully paid bonus shares and further orders
that it shall not be necessary for any minute relating to
the distribution of the share premium account as above
authorised to be produced to the Registrar of Companies
pursuant to section 78 (1) of the Companies Act 1955 or
to be registered pursuant to section 78 (2) and further
orders that notice of making such orders be published once
in the New Zealand Gazette.

of the above-named company by the Supreme Court was,
on the 23rd day of June 1975, presented to the said Court

the said petition is directed to be heard before the Court
sitting at Palmerston North on Friday the 12th day of September 1975 at 10 o’clock in the forenoon; and any creditor or

NOTICE OF INTENTION TO TAKE LAND
In the matter of the Wellington Regional Water Board Act
1972 and in the matter of the Public Works Act 1928:
Notice is hereby given that the Wellington Regional Water
Board duly constituted under the Wellington Regional Water
Board Act 1972 proposes under the provisions of the abovementioned Acts and of all other Acts, powers, and authorities
enabling it in that behalf to execute a public work, namely,
soil conservation and river control, and for the purposes
of such public work the lands described in the Schedule
hereto are required to be taken. And notice is hereby further
given that plans of the lands which are required to be taken
being Survey Office Plans No. 28583 and 28584 deposited
at the offices of the Wellington Regional Water Board, Third
Floor, M.E.D. Building, Lower Cuba Street, Wellington, the
respective pieces of land described in the said Schedule being
more particularly delineated on such plans and are there
open for inspection without fee by all persons during ordinary
