Special Partners: The persons whose names and addresses are set forth in the Schedule hereto.

(c) The aforesaid special partners have contributed to the common stock of the partnership the sums listed against their respective names in the Schedule hereto. The general partner has not contributed to the common stock of the partnership.

(d) The general nature of the business to be transacted by the partnership is that of owning and holding a certain piece of land at Cheshire Street, Parnell, Auckland, and of managing, leasing, and maintaining the same as an investment.

(e) The principal place at which the business is to be transacted is at the offices of the general partner, J.B.L. Consolidated Limited, 46 Kitchener Street, Auckland.

(f) The partnership is to commence on the date of registration of this certificate and is to terminate 3 years thereafter.

Resolution Passed by the Dunedin City Council on Monday, 28 June 1971

PURSUANT to the Local Authorities Loans Act 1956, the Dunedin City Council hereby resolves as follows:

That, for the purpose of providing the annual charges on a loan of $197,200, authorised to be raised by the Dunedin City Council under the above-mentioned Act, for the purpose of repaying on maturity those portions of the Electricity Development Loan 1959 of $1,000,000 and the Electricity Development Loan 1960 of $600,000 which mature on 15 August 1971, the said Dunedin City Council hereby makes a special rate of 0.0459c in the dollar ($) upon the rateable value of all rateable property of the City of Dunedin, comprising the whole of the City of Dunedin, and that the special rate shall be an annual-recurring rate during the currency of the loan and be payable yearly on the 1st day of June in each and every year during the currency of the loan, being a period of six (6) and ten (10) years, or until the loan is fully paid off.

That, for the purpose of providing the annual charges on a loan of $21,000, authorised to be raised by the Dunedin City Council under the above-mentioned Act, for the purpose of repaying on maturity that portion of the Works Loan 1960 of $300,000 which matures on 1 November 1971, the said Dunedin City Council hereby makes a special rate of 0.0049c in the dollar ($) upon the rateable value of all rateable property of the City of Dunedin, comprising the whole of the City of Dunedin, and that the special rate shall be an annual-recurring rate during the currency of the loan and be payable yearly on the 1st day of June in each and every year during the currency of the loan, being a period of six (6) and ten (10) years or until the loan is fully paid off.

PURSUANT to the Local Authorities Loans Act 1956, the Dunedin City Council hereby resolves as follows:

That, for the purpose of providing the annual charges on a loan of $228,500, authorised to be raised by the Dunedin City Council under the above-mentioned Act, for the purpose of meeting extra costs in respect of Stage I of the Palmyra Redevelopment Scheme, the said Dunedin City Council hereby makes a special rate of 0.0175c in the dollar ($) upon the rateable value of all rateable property of the City of Dunedin, and that the special rate shall be an annual-recurring rate during the currency of the loan and be payable yearly on the 1st day of June in each and every year during the currency of the loan, being a period of forty (40) years or until the loan is fully paid off.

"That, for the purpose of providing the annual charges on a loan of $14,000, authorised to be raised by the Thames Borough Council under the above-mentioned Act, for the purpose of purchasing a new fire appliance, the said Thames Borough Council hereby makes a special rate of 0.03418c in the dollar upon the unimproved rateable value of all rateable property in the Borough of Thames, and that the special rate shall be an annual-recurring rate during the currency of the loan and be payable yearly on the 1st day of April in each and every year during the currency of the loan, being a period of 15 years or until the loan is fully paid off."
