Note of Voluntary Winding-up Resolution

TAKE notice that in accordance with sections 362 (8) and 268 (1) (c) of the Companies Act, a meeting of the above company is to be held on Monday, 21 September 1964, at the company's business premises, Brett Avenue, Papatoetoe, at 10.30 a.m. The purpose of the meeting is to consider the following extraordinary resolution passed by the company by entry in its minute book on 11 September 1964.

"That the company cannot by reason of its liabilities continue its business and that it be wound up."

Consideration will also be given to appointment of a liquidator and a committee of inspection.

NOTICE is hereby given that a resolution for voluntary winding up of Walker Electric Ltd. was passed on the 14th day of September 1964, by entry in the minute book pursuant to section 362 (1) of the Companies Act 1955, and that a meeting of the creditors of the company will be held pursuant to section 362 (8) of the said Act, at the Wanganui Jockey Club Rooms, Maria Place, Wanganui, on the 24th day of September 1964, at 3 p.m., at which meeting a full statement of the position of the company's affairs together with a list of creditors and the estimated amount of their claims will be laid before the meeting and at which meeting the creditors, in pursuance of section 285 of the said Act, may nominate a person to be the liquidator of the company, and in pursuance of section 286 of the said Act, may appoint a committee of inspection.

PURSUANT to section 269 of the Companies Act 1955, notice is hereby given that on the 14th day of September 1964, the following extraordinary resolution was duly passed by entry in the minute book pursuant to section 362 (1) of the Companies Act 1955:

"(1) That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that the company be wound up voluntarily.

(2) That in pursuance of section 285 of the Companies Act 1955, Mr R. W. Glasgow, public accountant, Wanganui, be and is hereby nominated as liquidator of the company."
