WANGAEHU CO-OPERATIVE DAIRY CO. LTD.

IN VOLUNTARY LIQUIDATION

Notice of Resolutions

In the matter of the Companies Act 1955 and in the matter
of the Wangaeihu Co-operative Dairy Co. Ltd., notice is hereby
given that at an extraordinary general meeting of the above-
named company held on the 28th day of August 1964, the
following resolutions were passed by the company, namely:
(a) That this meeting of members of the Wangaeihu Co-
operative Dairy Co. Ltd. approves and ratifies the Amalga-
mation Agreement with Manawatu Co-operative Dairy Co.
Ltd. bearing date the 10th day of August 1964, of which
Amalgamation Agreement a copy has been distributed.
(b) That the company be wound up voluntarily.
(c) That Mr Victor Bayly Haworth, of Wanganui, public
accountant, the secretary of the company, be appointed liquid-
ator of the company.
(d) That the liquidator be authorised pursuant to the pro-
visions of section 278 of the Companies Act 1955, in con-
sideration of the vesting of the assets and liabilities of this
company in Manawatu Co-operative Dairy Co. Ltd., to receive
shares in the capital of Manawatu Co-operative Dairy Co.
Ltd. as provided in the above-mentioned Amalgamation
Agreement.
(e) That pursuant to the proviso to paragraph 1 of the
said Amalgamation Agreement the foregoing resolutions are
passed subject to the express conditions that they shall
not take effect should any dissenting shareholder of the
Wangaeihu Co-operative Dairy Co. Ltd. or any shareholder
of the Wangaeihu Co-operative Dairy Co. Ltd. who shall
not vote in favour of all or any of the said resolutions, give
the requisite notice in writing to the liquidator pursuant to
section 3 of section 278 of the Companies Act 1955, requiring
the liquidator to abstain from carrying into effect the sale
proposed by the above-mentioned Amalgamation Agreement
unless and until the Manawatu Co-operative Dairy Co. Ltd.
shall have authorised the liquidator to purchase the shares of
such shareholder or shareholders from the capital funds of the
Wangaeihu Co-operative Dairy Co. Ltd. in accordance with
the provisions of the said section.
