TUI COOPERATIVE DAIRY CO. LTD.

IN VOLUNTARY LIQUIDATION

IN the matter of the Companies Act 1955 and in the matter of the Tui Cooperative Dairy Co. Ltd. notice is hereby given that at an adjourned meeting held on the 16th day of March 1964 of an extraordinary general meeting of the above-named company, held on the 9th day of March 1964, the following special resolution was passed by the company, namely:

“(a) That the company be wound up voluntarily.
“(b) That Mr J. F. Rodden be appointed liquidator.
“(c) That the liquidator be and he is empowered and authorised to enter into an agreement with Oroua Downs Cooperative Dairy Co. Ltd. for the sale to, and the taking over by, that company of all the assets and liabilities of the company and to receive in compensation therefor shares in the Oroua Downs Cooperative Dairy Co. Ltd. for distribution among members of the company in pursuance of an offer from the Oroua Downs Cooperative Dairy Co. Ltd. dated the 27th day of November 1963 and as amended by letter dated the 20th day of February 1964 increasing the consideration from £1,395 to £1,684 in fully paid-up shares.”

NOTICE OF ORDER AND MINUTE OF REDUCTION

IN the Supreme Court of New Zealand
Northern District
(Auckland Registry)

IN the matter of the Companies Act 1955 and in the matter of Schweppes (N.Z.) Ltd., a company duly incorporated under the said Act and having its registered office at Auckland in New Zealand, notice is hereby given that the order of the Supreme Court, dated the 11th day of February 1964, confirming the reduction of the share capital of the above-named company from £535,000 to £474,000, and the minute approved by the Court showing, with respect to the share capital of the company as altered, the several particulars required by the above-mentioned Act, were registered with the Registrar of Companies at Auckland on the 9th day of March 1964. The said minute is in the words and figures following:

“That the capital of Schweppes (N.Z.) Ltd. henceforth is £474,000 divided into 250,000 ordinary shares of £1 each and 224,000 5 per cent redeemable cumulative preference shares of £1 each.

“At the time of registration of this minute each such share is to be deemed to be fully paid up.”

AUCKLAND ELECTRIC POWER BOARD

RESOLUTION MAKING SPECIAL RATE

General Extension and Improvement Loan 1963, £800,000

IN pursuance and exercise of the powers conferred by the Auckland Electric Power Board Act 1921–22, the Local Authorities Loans Act 1956, and of every other power in that behalf enabling it, the Auckland Electric Power Board hereby resolves as follows:

“That, for the purpose of providing the principal interest and other charges on a loan of £800,000 known as the General Extension and Improvement Loan 1963 of £800,000 for the purpose of further reticulation of the board’s area and extending, strengthening, and reorganising the supply within that area, the Auckland Electric Power Board doth hereby make and levy a special rate of one seventeenth (1/17d.) of a penny in the pound (£) on the rateable value on the basis of the capital value of all rateable property in the Auckland Electric Power District comprising the City of Auckland together with the Boroughs of Ellerslie, Howick, Manurewa, Mount Albert, Mount Eden, Mount Roskill, Mount Wellington, Newmarket, Onehunga, One Tree Hill, Otahuhu, Papakura, and Papatoetoe, the County of Manukau, and the Road District of Waiheke; and that such special rate shall be an annually recurring rate during the currency of such loan and shall be payable yearly on the 31st day of March in each and every year during the currency of such loan, being a period of 12 years, or until the loan is fully paid off.”

I hereby certify that the above resolution was passed by the Auckland Electric Power Board at its meeting held on 3 February 1964.
