AUCKLAND HOME FURNISHERS LTD.

NOTICE OF WINDING-UP RESOLUTION

In the matter of the Companies Act 1955 and in the matter of Auckland Home Furnishers Ltd.

NOTICE is hereby given that, by an entry in the minute book signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company, on the 27th day of April 1960, passed the following resolution:

“Resolved that the company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up and that accordingly the company be wound up voluntarily.”

Notice is further given that, at a meeting of creditors held, pursuant to section 284 of the Companies Act 1955, on the 27th day of April 1960, the following resolution was passed by the creditors of the company:

“Resolved that Mr Owen Russell Cooper, public accountant, of Huntly, be and he is hereby appointed liquidator for the purposes of winding up the affairs of the company and distributing the assets.”

Notice to Creditors to Prove Debts or Claims

ANY person or body having claims against the above company should forward proof of such claim to the undersigned on or before the 27th day of May 1960.

NOTICE OF REDUCTION OF CAPITAL

In the matter of the Companies Act 1955 and in the matter of Pacific Engineering Ltd., a duly incorporated company having its registered office at Wellington and carrying on business as retail merchants.

NOTICE is hereby given that the order of the Supreme Court of New Zealand, dated the 13th day of April 1960, confirming the reduction of capital of the above-named company from £34,500 to £23,000 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, was registered by the Registrar of Companies on the 26th day of April 1960. The said minute is in the words and figures following:

“The capital of Pacific Engineering Ltd. is £23,000, divided into 23,000 ordinary shares of £1 each, having been reduced from £34,500, divided into 23,000 ordinary shares of £1 and 11,500 6 per cent cumulative preference shares of £1, each fully paid.”

PAPATOETOEO BOROUGH COUNCIL

RESOLUTION MAKING SPECIAL RATE

PURSUANT to the Local Authorities Loans Act 1956, the Papatoetoe Borough Council hereby resolves:

“That, for the purpose of providing annual charges on a loan of £359,000 authorised to be raised by the Papatoetoe Borough Council under the above-mentioned Act for the purpose of sewage reticulation, the said Papatoetoe Borough Council hereby makes a special rate of two decimal nought five pence (2·05d.) in the pound upon the rateable value of all rateable property in the Borough of Papatoetoe; and that such special rate shall be an annually recurring rate during the currency of the loan and be payable yearly on the 1st day of August in each and every year during the currency of the loan, being a period of twenty-five (25) years, or until such loan is fully paid off.”

PAPATOETOE BOROUGH COUNCIL

RESOLUTION MAKING SPECIAL RATE

PURSUANT to the Local Authorities Loans Act 1956, the Papatoetoe Borough Council hereby resolves:

“That, for the purpose of providing annual charges on a loan of £25,000 authorised to be raised by the Papatoetoe Borough Council under the above-mentioned Act for the purpose of making advances to property owners for sewerage connections from their premises to the street, the said Papatoetoe Borough Council hereby makes a special rate of decimal three six six pence (·366d.) in the pound upon

the rateable value of all rateable property in the Borough of Papatoetoe; and that such special rate shall be an annually recurring rate during the currency of the loan and be payable yearly on the 1st day of August in each and every year during the currency of the loan, being a period of twenty-five (25) years, or until such loan is fully paid off.”

WAITEMATA COUNTY COUNCIL

RESOLUTION MAKING SPECIAL RATE

Green Bay Sewerage and Stormwater Loan 1960, £73,100

PURSUANT to the Local Authorities Loans Act 1956, the Waitemata County Council hereby resolves as follows:

“That, for the purpose of providing the annual charges on a loan of £73,100 authorised to be raised by the Waitemata County Council under the above-mentioned Act for the purpose of providing sewer reticulation and stormwater drainage in the Green Bay County Town, the Waitemata County Council hereby makes a special rate of 4·9d. in the pound (£) on the rateable unimproved value of the Green Bay County Town; and it further resolves that the special rate shall be an annual-recurring rate during the currency of the loan and repayable yearly on the 1st day of June in each and every year during the currency of the loan, being a period of thirty (30) years, or until the loan is fully paid off.”

I hereby certify that the above is a true and correct copy of a resolution passed by the Waitemata County Council on the 26th day of April 1960.

WAITEMATA COUNTY COUNCIL

RESOLUTION MAKING SPECIAL RATE

Te Atatu Sewerage Loan (No. 1) 1959, £191,000

PURSUANT to the Local Authorities Loans Act 1956, the Waitemata County Council hereby resolves as follows:

“That, for the purpose of providing the annual charges on the loan of £191,000 authorised to be raised by the Waitemata County Council under the above-mentioned Act for the purpose of installation of sewerage reticulation in part of the Te Atatu Riding, together with all costs incidental thereto, the Waitemata County Council hereby makes a special rate of 1·5d. in the pound (£) on the rateable unimproved value of the Te Atatu Riding of the Waitemata County; and further resolves that the special rate shall be an annual-recurring rate during the currency of the loan and repayable yearly on the 1st day of June in each and every year during the currency of the loan, being a period of thirty (30) years, or until the loan is fully paid off.”

Water Supply Development Loan (No. 1) 1960, £380,000

PURSUANT to the Local Authorities Loans Act 1956, the Waitemata County Council hereby resolves as follows:

“That, for the purpose of providing the annual charges on the loan of £380,000 authorised to be raised by the Waitemata County Council under the above-mentioned Act for the purpose of upgrading water reticulation in the No. 2, 3, and 4 Water Supply Areas of the Waitemata County and improvements to Massey Depot, together with all costs incidental thereto, the Waitemata County Council hereby makes a special rate of 0·393d. in the pound (£) on the rateable unimproved value of all rateable property within the Waitemata County; and further resolves that the special rate shall be an annual-recurring rate during the currency of the loan and repayable yearly on the 1st day of June in each and every year during the currency of the loan, being a period of thirty (30) years, or until the loan is fully paid off.”
