NOTICE TO CREDITORS

In the matter of the Companies Act 1955 and in the matter of Harding Construction Ltd.

NOTICE is hereby given that, by an entry in its minute book signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 20th day of October 1958, passed an extraordinary resolution for voluntary winding up; and that a meeting of the creditors of the above-named company will accordingly be held, pursuant to section 284 of the Companies Act 1955, at the offices of Wilkinson, Christmas, Steen and Co., 11 Commerce Street, Auckland, on the 29th day of October 1958 at 11 o’clock in the forenoon.

NOTICE OF RESOLUTIONS

In the matter of the Companies Act 1955 and in the matter of Durham Traders Ltd. (formerly E. L. Haydon Ltd.).

NOTICE is hereby given that, by duly signed entry in the minute book of the above-named company on the 29th day of September 1958, the following extraordinary resolution was passed by the company, namely:

“That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that accordingly the company be wound up voluntarily and that the Official Assignee be hereby appointed provisional liquidator.”

Notice is further given that, at a meeting of creditors of the above company held on the 14th day of October 1958, the following resolutions were passed:

“1. That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that the company be wound up as a creditors’ voluntary winding up.

“2. That, in pursuance of section 285 of the Companies Act 1955, Mr Noel Barclay, F.P.A.N.Z., of Auckland, public accountant, be and he is hereby appointed liquidator of the company.

“3. That Mr Carlyle, Mr Hayes, and Mr Salter be appointed to the committee of inspection.

“4. That the rate of remuneration of the liquidator be fixed by the committee of inspection.”

NOTICE OF SPECIAL RESOLUTION

In the matter of the Companies Act 1955 and in the matter of Harcourt Furniture Co. Ltd.

NOTICE is hereby given that an order of the Supreme Court of New Zealand, dated the 23rd day of September 1958, confirming a special resolution for the reduction of capital of the company from £3,000 comprised of 3,000 ordinary shares fully paid up of £1 each to £1,500 comprised of 3,000 ordinary shares fully paid up of 10s. each, and a minute approved by the Court showing with respect to the capital as altered the several particulars required by the above statute were registered with the Registrar of Companies at Christchurch on the 14th day of October 1958; and notice is hereby further given that the said minute is in the words and figures following:

“That the capital of Harcourt Furniture Co. Ltd. was by virtue of a special resolution and with the confirmation of an order of the Supreme Court of New Zealand dated the 29th day of August 1958 reduced from the former capital of £3,000 in 3,000 ordinary shares fully paid up to £1,500 divided into 3,000 ordinary shares fully paid up of 10s. each. By virtue of the said special resolution confirmed by the said order the capital of Harcourt Furniture Co. Ltd. on the registration of this minute is £1,500 divided into 3,000 fully paid up ordinary shares of 10s. each.”

DISSOLUTION OF PARTNERSHIP

NOTICE is hereby given by the Public Trustee as statutory administrator of the affairs of Douglas Robert Ernest Webster, of Nelson, cafeteria proprietor, that the partnership known as Ritz Tearooms was, by reason of sale to Robert Latimer on 1 September 1958, dissolved on that date, and that the said business has been carried on under the same name by Robert Latimer, of Nelson, as from the date of dissolution.

NOTICE OF DISSOLUTION OF PARTNERSHIP

In the matter of Part II of the Partnership Act 1908 and in the matter of A. G. Simms and Co., trading as “The Waverley Book Shop”.

ALAN GEORGE SIMMS, of Auckland, bookseller and stationer, as a general partner in the above-named firm and the New Zealand Insurance Co. Ltd., an incorporated company having its registered office at Auckland, and the said Alan George Simms, the trustees under a certain deed of trust, made on the 31st day of July 1953, between the said Alan George Simms, as settler of the one part, the said New Zealand Insurance Co. Ltd., and the said Alan George Simms as trustees of the other part, as joint special partners in the above-named firm in the representative capacity of trustees under the said deed of trust, do hereby jointly and severally give public notice, for the purposes of section 62 of the Partnership Act 1908, that the special partnership of A. G. Simms and Co. has been dissolved by mutual consent as at the date hereof.
