ing how the winding up has been conducted and the property

In the matter of the Companies Act, 1908, and in the
matter of MATAURA CO-OPERATIVE RURAL INTERMEDIATE
CREDIT ASSOCIATION, LIMITED.

NOTICE is hereby given that the final dividend is now
payable in the winding up of the undermentioned
company on all proved claims—Second and final dividend
of 5s. in the pound and interest making a total of 20s. in the
pound and interest.

Dated at Invercargill, this 3rd day of December, 1937.

NEW ZEALAND THEATRES, LIMITED.

In the matter of the Companies Act, 1933, and in the
matter of NEW ZEALAND THEATRES, LIMITED.

NOTICE is hereby given that an order of the Supreme
Court of New Zealand dated the 26th day of November,
1937, confirming the reduction of the capital of the above-
named company from £129,320 to £69,695 and the minute
(approved by the Court) showing with respect to the capital
of the company as altered the several particulars required
by the above Act were registered by the Registrar of Com-
panies on the 6th day of December, 1937, and further take
notice that the said minute is in the words and figures
following :—

“ The capital of New Zealand Theatres, Limited, hence-
forth is £69,695 divided into 56,820 A preference shares of
£1 each, 37,500 B preference shares of 5s. each, and 70,000
ordinary shares of 1s. each. At the time of the registration
of this minute the whole of the said B preference shares
numbered 56821 to 94320 inclusive and the whole of the
said ordinary shares numbered 94321 to 164320 inclusive
have been issued and the sum of 5s. has been and is to be
deemed to have been paid up on each of the said B preference
shares and the sum of 1s. has been and is to be deemed to
have been paid up on each of the said ordinary shares. The
56,820 A preference shares are a new issue, and such shares
will be numbered 1 to 56820 inclusive, and will be issued
forthwith to the debenture stockholders of the company in

accordance with an arrangement made by the company
with such debenture stockholders and when issued the sum
of £1 will be and be deemed to have been paid up on each of
the said A preference shares. Such A preference shares shall
carry the right to a first non-cumulative preference dividend
at the rate of 4 per centum per annum as from the 3rd day
of April, 1937, and the right to a first preference as to capital
on a winding up but with no other rights to any surplus
assets or profits, and without any rights of voting at any
meeting of the company.”

GERALDINE BOROUGH COUNCIL.

RESOLUTION MAKING SPECIAL RATE.

Town Hall and Library Redemption Loan.

IN pursuance and exercise of the powers vested in it in
that behalf by the Local Bodies’ Loans Act, 1926, the
Geraldine Borough Council hereby resolves as follows :—

“ That, for the purpose of providing the interest and other
charges on a loan of £3,800 authorized to be raised by the
Geraldine Borough Council under the Local Bodies’ Loans
Act, 1926, for the redemption of the loan known as the
“ Town Hall and Library Loan, £5,500 ” (less accumulated
sinking funds and other available moneys), the Geraldine
Borough Council hereby makes and levies a special rate of
twopence halfpenny (2½d.) in the pound’ on the rateable
value on the basis of the unimproved value of all rateable
property in the Borough of Geraldine, and that such special
rate shall be an annual-recurring rate during the currency of
the said loan and be payable on the 1st day of April in each
and every year during the currency of such loan, being a
period of eleven years, or until the loan is fully paid off.”

I hereby certify that the above resolution was passed at a
special meeting of the Geraldine Borough Council held on the
18th day of November, 1937, in accordance with the Acts
authorizing and regulating Government loans to local bodies.

MASTERTON COUNTY COUNCIL.

RESOLUTION MAKING SPECIAL RATE.

The Masterton County Workers’ Dwelling Loan of £4,500, 1937.

IN pursuance and in exercise of the powers vested in it in
that behalf, by the Local Bodies’ Loans Act, 1926, and
of all other powers (if any) it thereunto enabling, the Masterton
County Council hereby resolves as follows :—

“ That, for the purpose of providing for the payment of
interest, principal, and other charges on the Masterton County
Workers’ Dwelling Loan of £4,500, 1937, authorized to be
raised by the Masterton County Council under the above-
mentioned Act for the purpose of acquiring the necessary
land, erecting fences and workers’ dwellings thereon, and all
other charges in this connection, the said Masterton County
Council hereby makes and levies a special rate of one
seventieth (1/70d.) of a penny in the pound sterling, on the
rateable value (on the basis of the capital value) of all rateable
property in the whole of the County of Masterton, and that
such special rate shall be an annually recurring special rate
during the currency of the said loan, and be payable yearly
on the first day of June in each year during the currency
of such loan, being a period of thirty (30) years, or until the
loan is fully paid off.”
