Sharpener (N.Z.), Ltd., has duly passed a resolution to go
into voluntary liquidation and has appointed E. Bowes
liquidator.

OAONUI IRRIGATION BOARD.

SPECIAL RESOLUTION.

PURSUANT to the provisions of the Local Authorities
Interest Reduction and Loans Conversion Act, 1932–33,
and the precedent consent of the Governor-General given by
Order in Council dated 24th May, 1934, the Oaonui Irrigation
Board hereby resolves to convert existing securities to which
the said Order relates into new securities bearing interest at
the rate of four pounds five shillings per centum (4½%) per
annum in accordance with the terms and provisions of the
Oaonui Irrigation Board Loans Conversion Order, 1934.

I hereby certify that the above is a true copy of the
resolution passed at the meeting held on Monday, 9th July,
1934, and that the resolution was duly confirmed this 6th day
of August, 1934.

NOTICE is hereby given in pursuance of sections 230 and
252 of the Companies Act, 1908, that a general meeting
of the members of the above-named company will be held at
409 D.I.C. Buildings, Wellington, at 11 a.m. on Saturday, 29th
September, for the purpose of having an account laid before
them showing the manner in which the winding up has been
conducted and the property of the company disposed of, and
of hearing any explanation that may be given by the liquidator,
and also of determining by extraordinary resolution the manner
in which the books, accounts, and documents of the company
and of the liquidator thereof may be disposed of.

TARANAKI ELECTRIC-POWER BOARD.

RESOLUTION MAKING SPECIAL RATE AS SECURITY FOR LOAN.

Supplementary Loan (1934), £7,500.

IN pursuance and exercise of the powers vested in it in
that behalf by the Local Bodies’ Loans Act, 1926, the
Taranaki Electric-power Board hereby resolves as follows:—

“That, for the purpose of providing the instalments of
principal and interest and other charges on a loan of £7,500
authorized to be raised by the Taranaki Electric-power Board
under the above-mentioned Act for the purpose of completing
the undertaking authorized by the poll of the ratepayers of
the Taranaki Electric-power District taken on the 5th day
of July, 1926, the said Taranaki Electric-power Board hereby
makes and levies a special rate of seven two-hundredths
(7/200ths) of a penny in the pound upon the rateable value
(on the basis of the capital value) of all rateable property of
the original Taranaki Electric-power District, as described in
the Third Schedule to the New Zealand Gazette Supplement of
18th May, 1922, No. 40, page 1374, and that such special rate
shall be an annual-recurring rate during the currency of such
loan and be payable half-yearly on the first day of April
and the first day of October in each and every year during
the currency of such loan, being a period of 20 years or until
the loan is fully paid off.”

We hereby certify that the above is a true copy of a resolution
of the Taranaki Electric-power Board passed at a duly con-
vened meeting of the said Board held at Eltham on the
twenty-first day of September, 1934.

KOTUKU OIL AND GOLDFIELDS COMPANY,
LIMITED.

IN VOLUNTARY LIQUIDATION.

In the matter of the Companies Act, 1933, and in the matter
of KOTUKU OIL AND GOLDFIELDS COMPANY, LIMITED (in
Voluntary Liquidation).

NOTICE is hereby given that the above company at a
meeting held on the 17th day of September, 1934,
passed as an extraordinary resolution the following:—

“That as the company cannot by reason of its liabilities
continue its business that steps be taken to wind up the
company, and that Mr. P. S. BOYES be appointed Liquidator
for this purpose.”

Further notice is hereby given that all persons or companies
having claims against the company are required to send full
particulars to the undersigned on or before the 20th day of
October, 1934, otherwise they may be excluded from parti-
cipation in any distribution of the assets.

Loans Conversion Orders, 1934 (Nos. 1 and 2).

I, HERBERT CECIL CAMPBELL, Chairman of the Otago
Harbour Board, do hereby certify that pursuant to the
provisions of subsection (2) of section 9 of the Local Authorities
Interest Reduction and Loans Conversion Act, 1932–33,
resolutions were duly passed at a special meeting of the
Otago Harbour Board held on the 4th day of September, 1934,
and confirmed at a special meeting on the 20th day of
September, 1934, providing for the issue under Part II of that
Act of new securities in conversion of existing securities issued
in respect of the loans set forth in the First Schedules to the
Otago Harbour Board Loans Conversion Order, 1934 (No. 1
and No. 2), respectively, as published in the New Zealand
Gazette No. 65 of the 21st day of August, 1934, at pages 2692
and 2697.

Dated at Dunedin, the 22nd day of September, 1934.
