IN LIQUIDATION.

In the matter of the Companies Act, 1908, and in the matter of TAIRUA CONSOLIDATED GOLD-MINES, LIMITED (in Liquidation).

NOTICE is hereby given of the following extraordinary resolution passed at an extraordinary meeting of shareholders of Tairua Consolidated Gold-mines, Limited, held on the 28th December, 1933:—

“That it has been proved to the satisfaction of the shareholders that the company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same, and that Messrs. CHAMBERS, WORTH, AND CHAMBERS, of Auckland, Public Accountants, be and they are hereby appointed Liquidators for the purposes of such winding-up.”

All persons, firms, or companies having claims against the above company are required to send the amount and full particulars thereof to the liquidators on or before Monday, 15th January, 1934.

IN LIQUIDATION.

In the matter of the Companies Act, 1908.

THE creditors of the above-named company are required to send in their names and addresses and particulars of debts and claims in duplicate by the 31st January, 1934, to Messrs. Dempsey and Litchfield, Accountants, Waldegrave’s Buildings, The Square, Palmerston North, liquidators for the said company, and if so required by a notice in writing to come in and prove their said claims. In default they will be excluded from any distribution made.

Notice is hereby given to the holders of debentures issued by the Franklin Electric-power Board in respect of the above-mentioned loans that it is intended to convert all such debentures (except those in respect of which dissent is duly signified, and excepting £7,200 of those held by the Public Trustee, which will be repaid in cash) into new debentures having new maturity dates and bearing interest at 4¼ per cent. per annum. The conversion will take effect from the 2nd February, 1934. Application for conversion must be made in writing and be accompanied by the securities to which it relates.

Dissent from the conversion of any existing debentures may be signified by the holder by notice in writing delivered to the Secretary, Franklin Electric-power Board, Pukekohe, on or before the 16th day of February, 1934.

If notice of dissent from the conversion of any debentures is not received by that date the debentures will be converted. The rate of interest on any debentures in respect of which dissent is signified as aforesaid will, by virtue of section 18 of the above-mentioned Act, be reduced to two-thirds of the original rate.

Further particulars as to the new debentures and the conversion generally may be obtained from the Secretary, Franklin Electric-power Board, Pukekohe.
