THE FEILDING VULCANIZING AND ACCESSORIES COMPANY, LIMITED.

In the matter of the Companies Act, 1908, and in the matter of THE FEILDING VULCANIZING AND ACCESSORIES COMPANY, LIMITED (and reduced).

NOTICE is hereby given that by Order of the Supreme Court of New Zealand made at Palmerston North under the above-mentioned Act on the 31st day of October, 1933, the said Court ordered that the reduction of capital effected by special resolution of the company duly passed reducing the capital of the company be and the same was thereby confirmed, and the following minute was approved by the said Court for registration with the Registrar of Companies :-

" The capital of The Feilding Vulcanizing and Accessories Company, Limited, henceforth is £3,000 divided into 6,000 shares of 10s. each instead of the capital of £6,000 divided into 6,000 shares of £1 each. Such reduction shall be effected by reducing the nominal value of the shares to 10s. each fully paid up."

And further that the addition of the words "and reduced" to the company's name be and the same was by the said order dispensed with.

PATTERSON BROS. (WELLINGTON), LIMITED.

In the matter of the Companies Act, 1908, and in the matter of PATTERSON BROS. (WELLINGTON), LIMITED.

NOTICE is hereby given that the following resolution was in accordance with section 168 (6) of the Companies Act, 1908, passed on the 21st day of October, 1933, by the above company:-

  1. That it is desirable to reconstruct the company, and accordingly that the company be wound up voluntarily, and that STANLEY HOGG, of Wellington, Accountant, be and he is hereby appointed Liquidator for the purposes of such winding-up.

  2. That the said liquidator be hereby authorized to consent to the registration of a new company, to be called "Patterson Bros. (Wellington), Limited," with memorandum and articles of association which have already been prepared with the privity and approval of the directors of this company.

  3. That the draft agreement submitted to this meeting and expressed to be made between this company and its liquidator of the first part, the said new company of the second part, and the shareholders of this company of the third part, be hereby approved, and that the said liquidator be hereby authorized pursuant to section 259 of the Companies Act, 1908, to enter into an agreement with such new company (when incorporated) in the terms of the said draft, and to carry the same into effect with such (if any) modifications as he shall think expedient.

It is also notified that as stated in the said resolution the liquidation of the said company was for the purposes of reconstruction only, and that on the 24th day of October, 1933, a new company called by the same name was incorporated for the purpose of taking over and did take over the business of the company.

NOTICE is hereby given that the above company passed the following extraordinary resolution at an extraordinary general meeting of shareholders held at the registered office of the company at Te Aroha on 30th October, 1933 :-

" That it is proved to the company's satisfaction that by reason of its liabilities the company cannot continue its business and that it is advisable to wind up the same."

All persons, firms, or corporations having any claims against the above-named company are requested to forward their names and addresses and full particulars of their debts or claims to the undersigned.

WAIKATO COUNTY COUNCIL.

In the matter of the Public Works Act, 1928.

PUBLIC notice is hereby given that the Waikato County Council proposes to execute a certain public work, to wit-the formation of a road-for which purpose the following land is required to be taken by the Waikato County Council under the provisions of the Public Works Act, 1928, sections 22 and 23, that is to say:-

All that piece or parcel of land in the Provincial District of Auckland, containing by admeasurement 7 acres 1 rood 7 perches, more or less, being portion of Allotment Number One hundred and ninety-one of the Parish of Whangamarino, situated in Block V, Hapuakohe Survey District, Auckland Land District. As the same is more particularly delineated on a plan lodged in the Survey Office at Auckland under No. 27260, and thereon coloured pink.

A plan of the land required to be taken as aforesaid is open for inspection at the office of the Huntly Borough Council. All persons affected are hereby called upon to set forth in writing any well-founded objections to the execution of such works or to the taking of such land, and to send such writing to the Waikato County Council within forty days from the date of the first publication of this notice.

PUBLIC WORKS ACT, 1928.

NOTICE OF INTENTION TO TAKE LAND IN BLOCK XI OF THE HASTINGS SURVEY DISTRICT FOR THE PURPOSES OF A ROAD.

NOTICE is hereby given that the Thames County Council intends to take, under the provisions of the Public Works Act, 1928, the land described in the Schedule hereto for the purpose of a public road:

And notice is hereby further given that a plan of the land proposed to be so taken is deposited in the office of the Thames County Council, Mary Street, Thames, and may be inspected there without fee during office hours; and, further, that all persons affected by the execution of the said public work or by the taking of the said land should, if they have any well-grounded objection thereto, set forth the same in writing and send such writing within forty days from the 9th day of November, 1933, being the date of the first publication of this notice, to the Clerk of the Thames County Council aforesaid at Thames.

All that piece of land, situated at Tapu, in Thames County, containing 3 roods 8 perches, more or less, being portion of the Waipatukahu No. IA Block, situated in Block XI of the Hastings Survey District.

IN VOLUNTARY LIQUIDATION.

In the matter of the Companies Act, 1908, and in the matter of Messrs. MORGAN, WATSON, AND COMPANY, LIMITED (in Voluntary Liquidation).

NOTICE is hereby given that by resolution dated 31st October, 1933, it was resolved that the company go into voluntary liquidation, and that the undersigned be appointed Liquidator.

The creditors of the company are required, on or before 30th November, 1933, to send their names and addresses and particulars of their debts or claims to the Liquidator, or if required by notice in writing from the Liquidator to come in and prove such debts or claims, or, in default thereof, they will be excluded from the benefit of any distribution made before such debts are proved.
