WELLINGTON CITY COUNCIL.

NOTICE OF INTENTION TO TAKE LAND.

In the matter of the Public Works Act, 1908, the Municipal Corporations Act, 1920, and the Wellington City Empowering and Amendment Act, 1927.

NOTICE is hereby given that the Wellington City Council proposes, under the provisions of the above-named Acts and all other Acts and powers enabling it in that behalf to execute a certain public work—namely, for street purposes, Hunter Street and Featherston Street, in the City of Wellington—and for the purposes of such public work, the land described in the Schedule hereto is required to be taken.

And notice is hereby further given that a plan of the land required to be taken is deposited in the public office of the Town Clerk to the said Council in the Town Hall, Cuba Street, in the said city, and is there open for inspection (without fee) by all persons during ordinary office hours, and that all persons affected by the execution of the said public work or the taking of the said land should, if they have well-grounded objections to the execution of the said public work or to the taking of the said land, set forth the same in writing, and send such writing, within forty days from the first publication of this notice, to the Wellington City Council, addressed to the Town Clerk at his said office.

THE LADY RANFURLY GOLD-MINING COMPANY (KAWARAU), LIMITED.

AT an extraordinary general meeting of the above-named company duly convened and held respectively on the 28th day of March, 1928, and the 24th day of April, 1928, the subjoined resolutions were duly passed and confirmed.

  1. That it is desirable to reconstruct the company, and accordingly that the company be wound up voluntarily, and that KEITH S. RAMSAY, of Dunedin, Shipping Agent, and HAROLD BOOTH, of Dunedin, Secretary, be hereby appointed Liquidators for the purposes of such winding-up.

  2. That the said Liquidators be hereby authorized to consent to the registration of a new company to be named THE LADY RANFURLY GOLD-MINING Co. (KAWARAU), LTD., with a memorandum and articles of association which have already been prepared with the privity and approval of the directors of this company.

  3. That the draft agreement submitted to this meeting and expressed to be made between this company and its Liquidators of the one part and The Lady Ranfurly Gold-mining Co. (Kawarau), Ltd., of the other part, be hereby approved, and that the said Liquidators be hereby authorized, pursuant to section 259 of the Companies Act, 1908, to enter into an agreement with such new company (when incorporated) in the terms of the said draft, and to carry the same into effect with such (if any) modifications as they think expedient.

NOTICE is hereby given that by extraordinary resolution dated the 27th day of April, 1928, the above company went into voluntary liquidation under the provisions of subsection (c) of section 220 of the Companies Act, 1908, and the undersigned was appointed Liquidator.

All persons, firms, or corporations having claims against the said company are hereby required to forward particulars of same, together with proof of debt, in the prescribed form to the Liquidator at the address given below, on or before the 31st day of May, 1928.

NOTICE OF A PROPOSED PRIVATE BILL.

In the matter of a Bill intituled “A Bill to provide for the Raising and Incorporation in New Zealand of a Bank of Issue with Limited Liability.”

NOTICE is hereby given, pursuant to the Standing Orders of the Parliament of New Zealand relating to Private Bills, that application will be made to the General Assembly of New Zealand in Parliament assembled at its next session by Herbert Wellington Giesen, Accountant, of Dannevirke, for leave to introduce a Bill to be intituled “A Bill to provide for the Raising and Incorporation in New Zealand of a Bank of Issue with Limited Liability.”

By the said Bill it is intended to provide that,

  1. If before the 31st day of December, 1933, the Governor-General is satisfied that the promoter, as defined by the Bill, has formed an Association, the members whereof have subscribed themselves to pay not less than £1,000,000, and desire to be incorporated in New Zealand as a Bank, the Governor-General shall by notice in the Gazette—

(a) Proclaim that such persons, not exceeding seven, who have been named by the promoter as provisional directors shall be incorporated as a Bank of Issue with limited liability.

(b) Specify the amount of the nominal capital of the Bank as £2,000,000.

(c) Declare that the said incorporated persons shall be shareholders in such Bank for the amount subscribed by them respectively.

(d) Declare that the said incorporated persons shall be the provisional directors of the Bank.

  1. From the date of such notice the incorporated persons and any others subscribing as provided by the Schedule of the Bill, shall be entitled to become shareholders in a Bank of Issue in New Zealand and elsewhere in the name of “The London and New Zealand Bank,” having its constitution as set forth in the Schedule to the Bill.

  2. The Bank shall have authority to issue and circulate bank-notes in New Zealand, payable to bearer on demand, to an amount not exceeding the amount of coin bullion and public securities held by the Bank in New Zealand. The proportion of the coin bullion shall not be less than one-third part of the amount of coin bullion and public securities so held in New Zealand.

  3. Upon the happening of the matters in clauses 1 and 2 the Bank shall pay to the promoter brokerage, commission, and underwriting charges not exceeding seven pounds per cent. of the subscribed capital, and the Bank shall pay to the promoter or its nominees the sum of £10,000, and shall allot thereto 10,000 fully paid up £1 shares in the capital of the Bank.

A copy of the said proposed Bill and Petition will be deposited at the office of the Examiner of Standing Orders at Wellington before, or within fourteen days after, the commencement of the next session of the General Assembly.
