NOTICE is hereby given that a petition for the winding-up of the above-named company by the Supreme Court was, on the 9th day of February, 1927, presented to a Judge of the Supreme Court by EDITH AMELIA PEARCE, of Rotorua, Widow, MARGARET GIESEN, of Lower Hutt, Widow, and the Public Trustee of the Dominion of New Zealand, Wellington, executor in the will of HENRY ALEXANDER PEARCE, late of Rotorua, Settler, deceased, contributories of the said company: And the said petition is directed to be heard before a Judge of the said Court on Wednesday, the 2nd day of March, 1927, at 10 a.m., and any creditor or contributory of the said company desirous to oppose the making of an order for the winding-up of the said company under the above Act should appear at the time of hearing by himself or his counsel for that purpose: and a copy of the petition will be furnished to any creditor or contributory of the said company requiring the same, by the undersigned, on payment of the regulated charge for the same.

NOTICE is hereby given that the final general meeting of above company was held at Christchurch on Thursday, the 10th February, 1927, at which all the shareholders were present.
The Liquidator’s audited accounts, showing how the winding-up was conducted and the assets disposed of, were presented, unanimously approved, and accepted.

In the matter of the Companies Act, 1908, and in the matter of THE NEW ZEALAND FARMERS CO-OPERATIVE DISTRIBUTING COMPANY (LIMITED).
NOTICE is hereby given that the order of the Supreme Court of New Zealand, bearing date the 28th day of January, 1927, confirming the reduction of the capital of the above-named company from £500,000 to £350,000, and the minute (approved by the Court) showing with respect to the capital of the company as altered the several particulars required by the above statute, were registered by the Registrar of Companies, Wellington, on the 9th day of February, 1927. And further take notice that the said minute (excluding serial numbers of shares) as approved by the Supreme Court is as follows:—
“The capital of the New Zealand Farmers Co-operative Distributing Company (Limited) henceforth is £350,000, divided into 350,000 ‘A’ shares of 14s. each and 30,000 ‘B’ shares of £3 10s. each, instead of the capital of £500,000 divided into 350,000 ‘A’ shares of £1 each and 30,000 ‘B’ shares of £5 each.
“At the time of registration of this minute—
“(a.) 15,963 ‘A’ shares of 14s. each which have been issued and have not been forfeited have been and are deemed to be fully paid up (except as to such shares on which there are unpaid calls).
“(b.) The sum of 11s. 6d. per share has been and is to be deemed paid up (except as to such shares on which there are unpaid calls) on 26,025 ‘A’ shares of 14s. each which have been issued and have not been forfeited.
“(c.) The sum of 6s. 6d. per share has been and is to be deemed paid up (except as to such shares on which there are unpaid calls) on 98,634 ‘A’ shares of 14s. each which have been issued and have not been forfeited.
“(d.) The sum of £2 per share has been and is to be deemed paid up (except as to such shares on which there are unpaid calls) on 11,629 ‘B’ shares of £3 10s. each which have been issued and have not been forfeited.
“(e.) The sum of £1 per share has been and is to be deemed paid up (except as to such shares on which there are unpaid calls) on 6,159 ‘B’ shares of £3 10s. each which have been issued and have not been forfeited.
“(f.) Nothing is to be deemed to have been paid up on any of the 5,995 ‘A’ shares of 14s. each which have been forfeited and are now unissued.
“(g.) Nothing is to be deemed to have been paid up on any of the 808 ‘B’ shares of £3 10s. each which have been forfeited and are now unissued.
“(h.) The remaining 203,383 ‘A’ shares of 14s. each and the remaining 11,404 ‘B’ shares of £3 10s. each have never been issued.
“Such reduction shall be effected by cancelling and writing off paid-up capital which has been lost or is unrepresented by available assets to the extent of 6s. in respect of each of the £1 ‘A’ shares of the company which has been issued and not forfeited, and to the extent of £1 10s. in respect of each of the £5 ‘B’ shares of the company which has been issued and not forfeited, and by reducing the nominal amount of such shares so issued to 14s. and £3 10s. respectively, and by reducing all unissued £1 ‘A’ shares accordingly to 14s. each and all unissued £5 ‘B’ shares accordingly to £3 10s. each, and so that such reduction shall in no wise reduce or extinguish the liability of shareholders with regard to capital not paid up in respect of shares already subscribed for and issued.”

NOTICE is hereby given that the partnership heretofore subsisting between us the undersigned GEORGE CHRISTIE WELLMAN and FRED SYKES in the business of Builders and Contractors carried on by us at Dunedin, in the Provincial District of Otago, under the style of “Sykes and Wellman,” has been dissolved by mutual consent as from the 1st day of January, 1927.
