- That the draft agreement expressed to be made between this company and its Liquidator of the one part, and HART PENNINGTON, LIMITED (the new company), of the other part, subscribed for the purposes of identification by David Stanley Smith, a solicitor of the Supreme Court of New Zealand, he and the same is hereby approved, and that the said Liquidator be and he is hereby authorized, pursuant to section 259 of the Companies Act, 1908, to enter into an agreement with such new company (when incorporated) in the terms of the Companies Act, 1908, to enter into an agreement with such new company (when incorporated) in the terms of the said draft, and to carry the same into effect, with such (if any) modifications as he may think expedient.

In the matter of THE CLUTHA JUNCTION CONSOLIDATED PROSPECTING AND GOLD-DREDGING CO., LTD.
At an extraordinary general meeting of the above-named company, duly convened and held at the registered office, Carlton Chambers, High Street, Dunedin, on Tuesday, 20th September, 1927, the following resolution was duly passed as an extraordinary resolution, and at a subsequent extraordinary general meeting of the members of the said company, also duly convened and held at the same place on Friday, 6th October, 1927, the following resolution was duly confirmed as a special resolution, namely :-
“ That the company be wound up voluntarily, and that Messrs. W. E. C. REID AND CO., Public Accountants, Dunedin, be appointed Liquidators.”

I, ARTHUR ISRAEL JOHNS, Acting General Manager, do solemnly and sincerely declare,—
- That the liability of the members is limited.
- That the capital of the company is £1,500,000 divided into 1,500,000 shares of £1 each.
- That the number of shares issued is 1,500,000.
- That calls to the amount of 16s. per share have been made, under which the sum of £1,200,000 has been received.
- That the amount of all moneys received on account of estates is £4,563,339 6s. 11d.
- That the amount of all moneys paid on account of estates is £4,554,666 8s. 2d.
- That the amount of the balance held to the credit of estates under administration is £8,672 18s. 9d.
- That the liabilities of the company at the close of its financial year (to wit, the 31st day of May last) were,—

On speciality .. Nil.
On notes or bills .. Nil.
On simple contracts .. £214,448.
On estimated liabilities £227,641. - That the assets of the company on that day were—

Bills of exchange and promissory notes : Nil.
Cash at bankers : £144,691.
Other securities : £888,809.
And I make this solemn declaration conscientiously believing the same to be true and by virtue of the provisions of an Act of the General Assembly of New Zealand intituled the Justices of the Peace Act, 1908.

DISSOLUTION OF PARTNERSHIP.
Notice is hereby given that the Partnership heretofore subsisting between HERBERT RICHARD SEARLE, of Wellington, and THOMAS THEODORE JOY, of Wellington, carrying on business for the supply of typewriters and office requisites at Number 2 Cuba Street under the style or firm of Searle, Joy, and Co, has been dissolved by mutual consent as from the 7th day of September, 1927, so far as concerns the said Thomas Theodore Joy, who retires from the said firm.
All debts due to and owing by the said late firm will be received and paid respectively by the said Herbert Richard Searle, who will continue to carry on the said business under the style of H. R. Searle and Co.

Notice is hereby given that a general meeting of the members of the above-named company will be held at the office of the Liquidator—namely, the offices of Messrs. Hutchison, Elliffe, and Cameron, Premier Buildings, Durham Street East, Auckland, on Tuesday, the 25th day of October, 1927, at 11 o’clock a.m., for the purpose of having an account laid before them showing the manner in which the winding-up of the company has been conducted and the property of the company disposed of, and hearing any explanations that may be given by the Liquidator, and also of determining by extraordinary resolution the manner in which the books, accounts, and documents of the company and of the Liquidator thereof shall be disposed of.
