hereby appointed the Liquidator of the said company for
the purpose of such winding-up, at the remuneration of fifty
pounds, payable as to one-half on the commencement and as
to the remaining one-half on the completion of liquidation:
And further, that the Liquidator, pursuant to section 259 of
the Companies Act, 1908, and all other powers in that behalf
enabling, be and he is hereby authorized to execute and carry
into effect, with any necessary modification or modifications,
an agreement with N.Z. Perpetual Forests, Limited, in
accordance with the draft thereof read to and approved by
this meeting, and for the purpose of identification initialled
by the secretary of this company: And further, that the
Liquidator be and he is hereby authorized and empowered
to accept as part of the consideration for the transfer intended
to be effected to N.Z. Perpetual Forests, Limited, bonds in
such last-mentioned company as in the said agreement pro-
vided, having due regard to the rights of any dissentient
members of this company and to the rights of any dis-
sentient holders of, or subscribers for, debentures in this
company.
