In the matter of “The Companies Act, 1903”; and in the matter of Bennet’s Patent Boot Company (Limited).

AT an extraordinary general meeting of the members of the above-named company, duly convened, and held at the company’s registered office, 91a Princes Street, Dunedin, on Thursday, the 27th day of June, 1907, the following special resolutions were duly passed; and at a subsequent extraordinary general meeting, also duly convened, and held at the same place on the 15th day of July, 1907, the said resolutions were duly confirmed, viz.:

  1. That Mr. William Bennet’s offer to purchase the patent rights, goodwill, plant, and machinery of the company for the sum of £50 be accepted, and that the company be wound up voluntarily.

  2. That Mr. WILLIAM EDWIN CHARLES REID, of Dunedin, Accountant, be and is hereby appointed Liquidator for the purpose of such winding-up, at a fee of £10 10s.

In the matter of “The Companies Act, 1903,” and “The Mining Companies Act, 1904”; and in the matter of the Big River Gold-mining Company (Limited).

AT an extraordinary general meeting of the above-named company, duly convened, and held at the company’s registered office, Bridge Street, Reefton, on Wednesday, the 10th day of July, 1907, the following special resolutions were duly passed; and at a subsequent extraordinary general meeting of the members of the above-named company, duly convened, and held at the same place on the 31st day of July, 1907, the following special resolutions were duly confirmed, viz.:

  1. That it is desirable to reconstruct the company, and accordingly that the company be wound up voluntarily; and that THOMAS HUBERT LEE be and is hereby appointed Liquidator for the purpose of such winding-up (such company being termed “the old company”).

  2. That the said Liquidator be and he is hereby authorised to consent to the incorporation of a new company to be named “The New Big River Gold-mining Company (Limited),” with a memorandum and articles of association to be mutually agreed upon between the present directors of the old company and the said Liquidator, but, inter alia, subject to the terms and conditions herein mentioned.

  3. That the new company be incorporated with a nominal capital of £6,000, divided into 24,000 shares of 5s. each.

  4. That 23,325 of the said shares shall be received by the said Liquidator in full compensation for the transfer or sale by the old company to the new company for distribution by him among the members of the old company on the basis of one share for every share held by such shareholders in the old company, and the balance of the said shares—viz., 675—shall be sold for the benefit of the new company as and when the directors think most advisable.

  5. That by the memorandum of association of the new company it shall be provided that the directors of the new company, on behalf of the new company, shall have power to acquire mining privileges in the Westland Mining District and everything necessary to develop and work the same.

  6. That the number of directors in the new company shall be five, and that the directors of the old company shall be the first directors of the new company; and that the secretary of the new company be THOMAS HUBERT LEE, the manager of the old company.

  7. Calls in the new company shall not exceed 6d. per share per calendar month.

  8. That the said Liquidator is hereby authorised to assign to such new company all and singular the mining privileges, machinery, goods, chattels, moneys, credits, and property of the old company.

  9. That the new company shall pay, satisfy, and discharge all the debts, liabilities, and obligations of the old company.

  10. That the Liquidator is hereby authorised and directed to join with all necessary parties and to enter into the necessary reconstruction agreement to carry these resolutions into effect.
