THE BENJAMIN EDWARDS COMPANY (LIMITED).
PUBLIC notice is hereby given that the following resolu-
tion was passed at an extraordinary general meeting
of the shareholders held on the 30th day of December, 1896,
and confirmed at an extraordinary general meeting held on
the 20th January, 1897:-
"That, whereas it is proved to the satisfaction of this
meeting of shareholders that the Benjamin Edwards Com-
pany (Limited) cannot, by reason of its insufficient capital,
carry on business profitably, and it is further proved to the
satisfaction of the shareholders present, holding amongst
them 722 shares, that the company, by reason of its liabili-
ties, cannot continue business without great loss to the
shareholders, it is therefore advisable to wind up the said
company, and that the company be wound up voluntarily, in
accordance with clause 189 and the following clauses of
'The Companies Act, 1882'; that William Benjamin Scan-
drett and John Edmond be and are hereby appointed Liqui-
dators for the purpose of winding up the affairs of the com-
pany and distributing its assets."

WELLINGTON AND MANAWATU RAILWAY COM-
PANY (LIMITED).
IN pursuance of the powers and authorities conferred
upon the Wellington and Manawatu Railway Company
(Limited) by "The Railways Construction and Land Act,
1881," and of all other powers and authorities in any wise
enabling it in that behalf, the said company doth by this
instrument under its common seal make and ordain the
following by-law for regulating the carriage of unpacked
bicycles, tricycles, and velocipedes upon the railway belong-
ing to the company, that is to say,
- The company will receive unpacked bicycles, tricycles,
and velocipedes for carriage upon their railway at parcel rates
at any of the stations thereon, and will carry the same upon
the following conditions:-
(a.) Except in the case of flag-stations, every such
bicycle, tricycle, or velocipede shall be delivered
to the parcels clerk at the station from which the
same is to be carried not less than fifteen minutes
before the time appointed by the time-tables of
the company for the departure of the train upon
which it is to be carried, and the person deliver-
ing the same shall also sign and deliver to such
clerk a consignment-note for the same on a form
supplied by the company, and pay the freight and
charges for carriage thereof at the parcel rates
for the time being in force for bicycles, tricycles,
or velocipedes; and shall at the same time obtain
from such clerk a receipt for such bicycle, tri-
cycle, or velocipede, and for such freight and
charges.
(b.) The company shall not be bound to receive any
such bicycle, tricycle, or velocipede at any flag-
station unless the guard of the train to whom the
same shall be tendered for carriage can, with due
regard to convenience of stowage, receive the same
for that purpose; and the onus of proving that a
refusal by the guard to receive the same was un-
reasonable and improper shall be upon the person
tendering the bicycle, tricycle, or velocipede for
carriage.
(c.) The person entitled to receive any such bicycle,
tricycle, or velocipede on its arrival at its destina-
tion shall immediately after such arrival attend to
receive the same, and shall with all reasonable
speed remove the same from the station, and the
same shall until actual removal remain at the
sole risk of such person; and in every case the
person claiming any such bicycle, tricycle, or
velocipede shall before such removal deliver to
some servant of the company the receipt given
for the same when delivered for carriage.
(d.) Any bicycle, tricycle, or velocipede not removed as
aforesaid within twenty minutes after arrival at
