December, one thousand eight hundred and sixty-
eight, anything in "The Debentures Act, 1864,"
notwithstanding. And whereas by the said Amend-
ment Act it is also enacted, that after payment of
the principal sums, and the interest thereon secured
by such last mentioned Debentures respectively, or
any of them, and notwithstanding such payment, new
Debentures may be issued for such sums and in such
manner in all respects as is provided by the said Act
as to Debentures therein mentioned; and so on from
time to time until the thirty-first day of December,
one thousand eight hundred and sixty-eight, and not
afterwards, subject to a proviso that the total amount
of principal money secured by Debentures under
the said Act and the Act now in recital at any one
time should not exceed in the whole the sum of One
Million pounds sterling, and that the principal be
made payable not later than the thirty-first day of
December, one thousand eight hundred and sixty-
eight. And whereas by the said Amendment Act it is
further enacted that if the holder of any such
Debentures, issued before the passing of the Act
now in recital, shall be willing, before the same be
paid, to renew the same and accept a Debenture
issued under the Act now in recital in lieu of the
Debenture now held by him, such new Debenture
may be issued for the amount of the Debenture then
held by the said holder, subject however to a
proviso that such new Debenture shall not be issued
for a longer period than that allowed by the Act now
in recital. And by the said Amendment Act it is
further enacted that all the provisions of the said
Act shall apply to the Debentures authorized to be
issued under the Act now in recital. And whereas
it is expedient that an Agent should be appointed in
New Zealand, to issue in New Zealand new Deben-
tures under the said fifth section of the said
Amendment Act:

Now therefore, I, Sir George Grey, the Governor
as aforesaid, in pursuance and in exercise of all
powers and authorities in this behalf enabling me, do
hereby appoint that there may be borrowed and
raised under the authority of the said "Debentures
Act, 1864," and "The Debentures Act, 1864,
Amendment Act, 1865," the sum of Thirty-two
thousand eight hundred and ninety-four pounds
eight shillings and eight pence, being the balance of
the said unraised residue of the said last-mentioned
sum of Two hundred and fifty thousand pounds,
authorized to be raised by the said hereinbefore
thirdly recited Warrant, and that the same shall be
raised by Debentures in the form hereunder written,
in sums of not less in amount than Twenty pounds
nor more than One thousand pounds, at the discre-
tion of the Agent hereinafter mentioned, and that
the same shall bear interest at the rate of eight
pounds per centum per annum. And that the Hon.
EDWARD WILLIAM STAFFORD, one of the Executive
Council of the said Colony, shall be the Agent in
New Zealand for the purpose of raising the said sum
of Thirty-two thousand eight hundred and ninety-
four pounds eight shillings and eight pence, the
balance of the unraised residue aforesaid of the last
mentioned sum of Two hundred and fifty thousand
pounds so authorized to be issued. And I do direct
that coupons, in the form hereunder, may or may
not be appended to the Debentures issued under the
authority hereby given, as the said Edward William
Stafford in his discretion shall think fit. And I do
direct that the said Edward William Stafford shall
have all the powers under the said two several Acts,
in reference to the raising the said sum of Thirty-two
thousand eight hundred and ninety-four pounds eight
shillings and eight pence. And in pursuance and in
exercise of all powers and authorities in this behalf
enabling me, I do hereby appoint that to any holder
of any of the Debentures issued before the passing
of the said Amendment Act, under the authority of
either of the hereinbefore recited Warrants, who
shall be willing to renew the same and accept a
Debenture under the said fifth section of the said
Amendment Act. And I do appoint that all Deben-
tures issued under the said ifth section of "The
Debentures Act, 1864, Amendment Act, 1865," shall
be in the said form hereunder written in sums of not
less in amount than Twenty pounds, nor more than
One thousand pounds, at the discretion of the Agent
hereinafter mentioned and appointed, and that the
same shall bear interest at the rate of Eight pounds
per centum per annum. And that the said Edward
William Stafford shall until otherwise ordered be the
sole Agent in New Zealand to sign and issue the
same. And I do direct that Coupons, in the said
form hereunder written, may or may not be appended
to the Debentures issued under the said fifth section
of "The Debentures Act, 1864, Amendment Act,
1865," as the said Edward William Stafford in his
discretion may think fit. And I do direct that the
said Edward William Stafford shall have all the
powers under said Act and the said Amendment
Act, or either of them, in reference to the issuing of
Debentures under the said fifth section of the said
Amendment Act.

Debenture issued under "The Debentures Act,
1864," and "The Debenture Act, 1864, Amend-
ment Act, 1865," of the Colony of New Zealand.-
No. On presentation at on or after the
day of 186, the bearer of this Debenture will
be entitled to receive the sum of pounds sterling,
which, with interest thereon at the rate of Eight
pounds per centum per annum, is payable out of
amount charged upon the revenue of the Colony
arising from the duties of import and export, and all
taxes, duties, duties, rates, and imposts, levied under
Act or Acts of the General Assembly, and which
interest is payable half-yearly on the first day of
January, and the first day of July, in each year
at
(Dividend coupons for which interest are annexed.)
