have all the powers under the said Act and the said
Amendment Act, or either of the said Acts, in
reference to the issuing of Debentures under the said
fifth section of the said last-mentioned Act.

Debenture issued under "The Debentures Act,
1864," and "The Debentures Act, 1864, Amend-
ment Act, 1865," of the Colony of New Zealand.

be entitled to receive the sum of pounds sterling,
which with interest thereon at the rate of Eight pounds
per centum per annum is payable out of and charged
upon the revenue of the Colony arising from the
duties of import and export, and all taxes, duties,
rates and imposts, levied under any Act or Acts of
the General Assembly, and which interest is payable
half-yearly on the first day of January, and the first
day of July, in each year at
(Dividend coupons for which interest are annexed)

WHEREAS by "The Debentures Act, 1864,"
hereinafter called and referred to as the said
Act, it is enacted that it shall be lawful for the
Governor of New Zealand to borrow any sum not
exceeding in the whole the sum of One million
pounds in anticipation of the loan of Three million
pounds authorized to be borrowed under the pro-
visions of "The New Zealand Loan Act, 1863," and
to take up the same on Debentures from time to
time as he may deem expedient: And it is further
enacted that every such Debenture shall be in such
form and in such sum, and shall be signed and issued
by such Agent or Agents as the Governor shall
appont. And whereas by a Warrant under his
hand, dated the second day of January, one thousand
eight hundred and sixty-five, His Excellency the
Governor did appoint Falconer Larkworthy, Robert

Porter, and William Smellie Grahame, jointly and
each of them severally, to be the Agent and Agents
in England for raising the sum of Five hundred
thousand pounds, part of the said sum of One
million pounds to be raised as aforesaid; and for
signing and issuing Debentures under the provisions
of the said recited Act. And whereas by a further
Warrant under his hand, dated the second day of
January, one thousand eight hundred and sixty-five,
His Excellency the Governor did appoint David
Limond Murdoch, Alexander Kennedy, James
Williamson, and Robert Waterston, jointly and each
of them severally, to be Agents and Agent in
Australia and New Zealand for raising the further
sum of Two hundred and fifty thousand pounds,
part of the said sum of One million pounds
authorized to be raised as aforesaid; and for signing
and issuing Debentures under the provisions of the
said recited Act. And whereas by a further Warrant
under his hand, dated the sixth day of January, one
thousand eight hundred and sixty-five, His Excellency
the Governor did appoint Frederick Aloysius Weld,
William Fitzherbert, Henry Sewell, John Larkins
Cheese Richardson, Walter Baldock Durrant Mantell,
and Harry Albert Atkinson, jointly and each of
them severally, to be the Agents and Agent in New
Zealand for raising the sum of Two hundred and
fifty thousand pounds, part of the said sum of One
million pounds authorized to be raised as aforesaid;
and for signing and issuing Debentures under the
provisions of the said recited Act. And whereas
there has been raised the sum of One hundred and
fifty-seven thousand one hundred and five pounds
eleven shillings and four pence out of the said last-
mentioned sum of Two hundred and fifty thousand
pounds. And whereas the appointments and ap-
pointment of all and each of the said last-mentioned
persons as such Agents and Agent as aforesaid has
been duly cancelled and determined. And whereas
by Warrant under his hand, dated twelfth day of
January, one thousand eight hundred and sixty-six,
His Excellency the Governor did appoint Penrose
Goodchild Julyan and William Charles Sargeaunt,
Agents for the Colonies, jointly and each of them
severally, to be the Agents and Agent in England
for raising the sum of Sixty thousand pounds, part
of the unraised residue of the said last-mentioned
sum of Two hundred and fifty thousand pounds.
And whereas it is expedient that an Agent should
be appointed in New Zealand for raising the sum of
Thirty-two thousand eight hundred and ninety-four
pounds eight shillings and eight pence, being the
balance of the said last-mentioned sum of Two
hundred and fifty thousand pounds. And whereas
before the passing of the Act intituled "The
Debentures Act, 1864, Amendment Act, 1865,"
hereinafter referred to as "the said Amendment
Act," Debentures to the amount of Five hundred
thousand pounds had been issued under the authority
contained in the said hereinbefore recited Warrant;
and also Debentures to the amount of Two hundred
and twenty-three thousand three hundred and sixty
pounds under the authority contained in the herein-
before recited second Warrant; and also to the
amount of One hundred and fifty-seven thousand
one hundred and five pounds eleven shillings and
four pence under the authority contained in the
hereinbefore third recited Warrant. And whereas
by the said Amendment Act it is enacted that the
principal sum secured by any such Debenture issued
after the passing of the Act now reciting, as in the
said Act or the now reciting Act mentioned, shall be
payable at a place and on a day named in such
Debenture, not sooner than the thirty-first day of
December, one thousand eight hundred and sixty-
five, and not later than the thirty-first day of
