Pursuant to Section 255(2)(b) of the Companies Act 1993 (“Act”)

Notice is hereby given that, on 14 September 2017, the shareholders of CLEVELAND WELLINGTON LIMITED resolved, by special resolution, to appoint Kevin John Whitley as liquidator of the company in accordance with section 241(2)(a) of the Act to undertake a solvent liquidation of the company.

Pursuant to sections 241(5) and 241(1)(a) of the Act, the liquidation commenced on 14 September 2017 at 12.21pm.

Unless requested by a creditor, it is not intended to hold a creditors’ meeting as this is a solvent liquidation and all creditors are expected to be paid. The directors have executed a certificate of solvency.

I, Colin Thomas McCloy, insolvency practitioner of Auckland, was appointed liquidator of the company by special resolution of the shareholders on 7 August 2017 at 12.00pm.

The directors have signed a certificate, under section 243(8) of the Act, stating that the company is solvent.

Pursuant to Liquidation Regulation 12 of the Act

Notice is given that the liquidator fixes 15 October 2017 as the day on or before which the creditors of the company are to make their claims and to establish any priority their claims may have, under section 312 of the Act (as amended), or to be excluded from the benefit of any distribution made before the debts are claimed or, as the case may be, from objecting to the distribution.
