Public Notice of Proposed Amalgamation

Pursuant to Section 221(4)(b) of the Companies Act 1993

The boards of IGL LIMITED and IGL HOLDINGS LIMITED (each an amalgamating company) give notice of a proposed amalgamation under which these two companies will amalgamate with each other on and with effect from 4 December 2009 and IGL HOLDINGS LIMITED will continue as the amalgamated company, on the terms set out in the amalgamation proposal dated 30 October 2009.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered office of that amalgamating company (as set out below) during normal business hours.

TE AWANUI HUKA PAK LIMITED is intended to continue as the amalgamated company.

It is intended that TE AWANUI HUKA PAK LIMITED will change its name to KIWI COAST GROWERS (TE PUKE) LIMITED immediately after the amalgamation becomes effective.
