Notice of Proposed Amalgamation

Notice is hereby given, pursuant to section 221(4) of the Companies Act 1993, that Namco N Z Limited and H O Wiles (1908) Limited, being the amalgamating companies, propose to amalgamate.

The amalgamation is proposed to take effect on 26 July 2007.

The amalgamated (continuing) company will be Namco N Z Limited.

All assets and undertakings of the amalgamating companies and all rights, obligations and liabilities owing by or to the amalgamating companies will upon amalgamation be transferred to the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered office of the amalgamating companies during normal business hours.

A shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.

Notice of Fonterra 2007 Elections for Board of Directors and Directors’ Remuneration Committee

Pursuant to Section 3 of the Companies Act 1993

Notice is hereby given that the following two elections will be held in 2007 for Fonterra Co-operative Group Limited.

Board of Directors:

Election of three directors.

Directors’ Remuneration Committee:

Election of two members.

The elections will take place concurrently.

Results will be announced at Fonterra’s annual meeting on Wednesday, 26 September 2007.

Invitation for Candidate Nominations

Nominations are called for candidates to stand for these two elections.

Fonterra shareholders are eligible to stand for both elections.

Nomination forms and candidate information packs can be obtained from the returning officer.

Nominations must be received by the returning officer by 12.00 midday on Thursday, 9 August 2007.

Elections

Voter packs will be posted to shareholders on Tuesday, 28 August 2007.

The elections will be conducted by internet, facsimile and postal voting, using the Single Transferable Vote (STV) method.

Voting papers must be in the hands of the returning officer by 12.00 midday on Tuesday, 25 September 2007.
