Public Notice of Proposed Amalgamation

Pursuant to Section 221 (4) (b) of the Companies Act 1993

The board of directors of Icebreaker Investments Limited gives notice that it is proposed that on a date after the 17th day of October 2006, Icebreaker Investments Limited will amalgamate with Icebreaker Holdings Limited, under Part XIII of the Companies Act 1993.

The amalgamated company will be a company called Icebreaker Holdings Limited.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Icebreaker Investments Limited or Icebreaker Holdings Limited (together the "amalgamating companies" and each an "amalgamating company") or by any person to whom either of the amalgamating companies is under an obligation at the registered office of the amalgamating companies, being care of Level Two, Hope Gibbons Building, 7-11 Dixon Street, Wellington, during normal business hours.

Any shareholder or creditor of either of the amalgamating companies or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.

Land Transfer Act Notice

The applicant described below has applied, under section 70 of the Land Transfer Act 1952, for the removal of an easement. The applicant claims the easement is redundant by reason of the circumstances set out below. I intend to remove the easement on the 14th day of October 2006, if no objections have been received before that date.

Easement: Right of way over part Lot 4; marked "K" on DP 324751, comprised in Computer Freehold Register 99827 and part Lot 2; marked "B" on DP 175624, now Lot 100, DP 181628, legal road specified in easement certificate D084509.30, registered on the 24th day of December 1996.

Circumstances: Part of the dominant tenement has become physically separated from the servient tenement as a result of subdivision and other relevant issues, and part of the servient tenement has become road.

With this publication such trust is revived from the date of this dissolution (noted above) as if no dissolution had taken place.
