Notice is hereby given, pursuant to section 221 (4) (b) of the
Companies Act 1993, that:

The board of directors of R P Holdings (2004)
Limited, Race Pace Marketing Limited, Race Pace
Investments Limited and Saabatical Investments
Limited (being the amalgamating companies) have
resolved to amalgamate into a new company to be called
Race Pace Holdings Limited, which shall become the
amalgamated (continuing) company.

Further, all rights, obligations and liabilities owing by or to
the amalgamating companies will, upon amalgamation, be
transferred to the amalgamated company.

The date of the proposed amalgamation is the 5th day of
May 2005 (being not less than 20 working days from the
date of this notice).

Copies of the amalgamation proposal are available for
inspection by any shareholder or creditor of an amalgamating
company or any person to whom an amalgamating company
is under an obligation at the registered offices of the
amalgamating companies during normal business hours
at Level Thirteen, AXA Centre, 80 The Terrace, Wellington.

Any shareholder or creditor of an amalgamating company
or any person to whom an amalgamating company is under
an obligation is entitled to be supplied free of charge with
a copy of the amalgamation proposal upon request to an
amalgamating company.
