Public Notice of Proposed Amalgamation

Notice is hereby given that it is proposed to amalgamate Syft Technologies Limited and Canterprise Syft Holdings Limited (β€œthe companies”), pursuant to section 220 of the Companies Act 1993.

The effective date of the amalgamation shall be the 11th day of April 2005.

Syft Technologies Limited is to be the continuing amalgamated company.

A copy of the amalgamation proposal is available for inspection by any shareholder or creditor of any of the companies or by any person to whom any of the companies is under any obligation.

Those people may inspect the proposal during normal business hours at Lane Neave, Lawyers, Level Fifteen, PricewaterhouseCoopers Centre, 119 Armagh Street, Christchurch.

A shareholder or creditor of any of the companies, or any person to whom any of the companies is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request.

On the 21st day of February 2005, Total Property Services (Wellington) Limited and Kleenrite Limited by their respective boards proposed to amalgamate their companies under the name Total Property Services (Wellington) Limited.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation at the registered offices of the amalgamating companies at Level Two, Pretoria Street, Lower Hutt.

Circumstances: Part of the dominant tenement has become physically separated from the servient tenement as a result of a subdivision shown on DP 323608.
