Notice of Proposed Amalgamation

Pursuant to Section 221 (4) of the Companies Act 1993

Notice is hereby given that an amalgamation of Holcomb Developments Limited (“the amalgamated company”) and Carollan Enterprises Limited (“the amalgamating company”) has been proposed to be effective from the 28th day of February 2005.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either Holcomb Developments Limited and Carollan Enterprises Limited or to any person to whom either company is under an obligation at the registered office of the respective companies, namely care of PG Bowker, C.A., 3/135 Broadway, Newmarket, Auckland, during normal business hours.

Public Notice of Proposed Amalgamation

Notice is hereby given that it is proposed to amalgamate Hamilton B.T.L Limited, Puriri B.T.L Limited, Breathe Technologies Limited and Syft Technologies Limited (“the companies”), pursuant to section 220 of the Companies Act 1993.

The effective date of the amalgamation shall be the 1st day of March 2005.

Syft Technologies Limited is to be the continuing amalgamated company.
