Pursuant to Sections 3, 255 (2) (a) of the Companies Act 1993

On the 30th day of January 2004, it was resolved by special resolution of shareholders, pursuant to section 241 (2) (a) of the Companies Act 1993, that Huataki Limited be liquidated and that Jugdis Hira Parbhu, chartered accountant of Ross Melville PKF, be appointed liquidator for the purpose.

The liquidation commenced on the 30th day of January 2004 at 10.00 a.m.

To all known creditors:

Public notice is given that a meeting of creditors of Huataki Limited (in liquidation) will be held at Level Five, 50 Anzac Avenue, Auckland, on Friday, the 13th day of February 2004 at 10.00 a.m.

Business

1. Appointment of liquidator:
   To consider whether to appoint another liquidator in place of the present liquidator who was appointed by the shareholders of the company and, if thought fit, to pass the following resolution:

   “That no liquidator be appointed to replace the present liquidator.”

2. Conduct of the liquidation:
   To consider whether the liquidator should be asked to have regard to the views, if any, of creditors in conducting the liquidation and, if thought fit, to pass the following resolution:

   “That no views as to the conduct of the liquidation be placed before the liquidator.”
