Notice of Appointment of Liquidator and Notice to Creditors to Claim

Notice is given that, by way of resolution of the shareholders of the above-named company in accordance with section 122 of the Companies Act 1993, Douglas Kim Fisher, chartered accountant of Auckland, was appointed liquidator of the company on the 10th day of January 2003 at 1.00 p.m.

The liquidation commenced on the 10th day of January 2003.

The liquidator does hereby fix the 7th day of February 2003, as the day on or before which the creditors of the company are to make their claims and to establish any priority their claims may have, under section 312 of the Companies Act 1993, or to be excluded from the benefit of any distribution made before their claims are made or, as the case may be, from objecting to any distribution.

The energy retailing business, formerly carried on by Encil Energy Limited under the name Energy On Line Limited, was acquired on the 1st day of December 2002 by a Genesis Power Limited subsidiary, G P No3 Limited, which changed its name to Energy On Line Limited from that date.

Customers of Encil Energy Limited have been supplied by the new company since the 1st day of December 2002. Suppliers of goods or services to Encil Energy Limited should have been paid by this date. Goods and services supplied since the 1st day of December 2002 to Energy On Line are the responsibility of the new Genesis Power Limited subsidiary Energy On Line Limited.

A declaration of solvency has been completed by the directors of Encil Energy Limited.
