No. 7

Explanatory Note

The Registrar of Companies has reviewed the existing prescribed form for annual returns filed pursuant to section 214 (1) of the Act.

It has become necessary and desirable to modernise and simplify the form presently prescribed by notice in the New Zealand Gazette, 30 September 1999, No. 137, page 3288.

The changes are due to the impending repeal of the Companies (Registration of Charges) Act 1993 and to client confusion over some of the information previously required in the annual return form.

The revised form removes requirements that are no longer necessary or appropriate, namely the requirement for the entry of information in relation to company charges and the address where company records are stored.

The revised form also contains additional explanation of the information that must be entered and sets out the new fees for filing an annual return.

The new form is optional for Companies Office clients.

However, the new simplified form is expected to reduce errors and compliance costs, and enhance the integrity of the Register.

It is therefore hoped that clients will adopt the new format.

NEVILLE HARRIS, Registrar of Companies.
