No. 56

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either amalgamating company or any person to whom either amalgamating company is under an obligation.

The copies of the amalgamation proposal are able to be viewed at the registered office, being PricewaterhouseCoopers, corner of Raffles Street and Bower Street, Napier during normal business hours.

Any shareholder or creditor of either amalgamating company or any person to whom either amalgamating company is under an obligation, is entitled to be supplied free of charge a copy of the amalgamation proposal upon request to either of the amalgamating companies.

Amalgamation is proposed to take effect on the 30th day of June 2000.

Pursuant to Section 221 (4) (b) of the Companies Act 1993

The board of TransAlta Energy Limited gives notice of the proposed amalgamation with Startalan Limited (together the “amalgamating companies”).

Startalan Limited is intended to continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of any of the amalgamating companies, or any person to whom an amalgamating company is under an obligation, at the registered offices of each of the amalgamating companies detailed below during normal business hours.

Any shareholder or creditor of the amalgamating companies, or any person to whom the amalgamating companies are under an obligation, is entitled to be provided free of charge with a copy of the amalgamation proposal by writing to the registered office of any of the amalgamating companies, detailed below, requesting a copy.
