Pursuant to Section 221 (4) (b) of the Companies Act 1993

The board of AIG-FP (NZ) No. 4 Limited hereby gives notice of the proposal to amalgamate AIG-FP (NZ) No. 4 Limited and AIG-FP (NZ) No. 5 Limited (together the “amalgamating companies” and each an “amalgamating company”) with AIG-FP (NZ) No. 5 Limited continuing as the amalgamated company.

The board of AIG-FP (NZ) No. 4 Limited hereby states that:

(a) Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered offices of the amalgamating companies during normal business hours; and

(b) A shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.

Notice is hereby given by Line Up (NZ) Limited, pursuant to section 221 (4) of the Companies Act 1993, of an amalgamation proposal affecting the company.

Line Up (NZ) Limited proposes to amalgamate with Global Culture Group Limited, H G C Limited and Global Culture Clothing Company Limited, pursuant to Part XIII of the Companies Act 1993.
