Explanatory Note

The Registrar of Companies has reviewed the existing prescribed form for annual returns filed pursuant to section 214 (1) of the Act, particularly in light of the technological developments taking place at the Companies Office. Consistent with the Act and these technological changes, it has become both necessary and desirable to modernise and simplify the form presently prescribed in the First Schedule to the Companies Act 1993 Regulations 1994.

The revised form is the outcome of consultation with Companies Office client representatives. It removes requirements that are no longer appropriate or necessary, and includes minor additional information requirements to ensure the currency of information on the companies register.

The new form is optional for Companies Office clients. However, the new, simplified form is expected to reduce errors and compliance costs, and enhance the integrity of the register. It is therefore hoped that clients will adopt the new format. The Registrar of Companies may also still approve the use of an annual return form different from that prescribed, pursuant to section 214 (8).
