Public Notice of Intention to Apply for the Removal of Company From the Register

Public notice is given that I, the undersigned, propose to apply to the Registrar of Companies at Gisborne, pursuant to section 293 (1) (d) of the Companies Act 1955, for the removal of Tukutuku Land Company Limited, whose registered office is situated at 1 Peel Street, Gisborne, from the New Zealand Register on the grounds that the company has ceased to carry on business, has discharged in full its liabilities to all its known creditors and has distributed its surplus assets in accordance with its memorandum and articles of the Companies Act 1955.

Unless written objection to such removal, pursuant to section 296 of the Act, is sent or delivered to the Registrar at Napier by the 20th day of May 1997 (being a date not less than 28 days after the date of this notice), the Registrar may remove the company from the Register.

In the matter of the Companies Act 1993, and in the matter of Fletcher Challenge Petroleum Asia Exploration Limited, Fletcher Challenge Energy Holdings Limited, Fletcher Challenge Energy New Zealand Limited and Petrocorp Exploration (Thailand) Limited (all with their registered offices at 581 Great South Road, Penrose, Auckland); Bluff Oil NL Limited, Petrocorp Exploration Drilling Services Limited, Guinevere Enterprises Limited, Menelaus Developments Limited, Southern Petroleum (Mohaka) Limited and Payzone Exploration Limited (all with their registered offices at 32–38 Molesworth Street, New Plymouth); and Petrocorp Exploration (Taranaki) Limited, Alcester Investments Limited, Eaglet Holdings, Mowbray Developments Limited and Zig Field Investments Limited (all with their registered offices at Penrose, Auckland):

Pursuant to section 318 (1) (e) of the Companies Act 1993, and subsequent to the liquidations of the above-named companies having been completed, I, Leonard Smith, business consultant of Pakuranga, as the liquidator, hereby gives notice that I propose to apply to the Registrar of Companies for removal of the above-named companies from the Register, pursuant to section 318 (2) (a) of the Companies Act 1993.

Unless written objection is made to the District Registrar of Companies, Private Bag 92-513, Wellesley Street, Auckland 1036, within 28 days of the publication of this notice, the Registrar may remove the companies from the Register.

Notice is also given, pursuant to section 120 of the Companies Act 1993, that a general meeting of shareholders of the above-mentioned companies will be held in the offices of Fletcher Challenge Industries Limited, 581 Great South Road, Penrose, Auckland 5, on the 23rd day of May 1997 at 10.00 a.m.

Business:

To receive and consider the liquidator’s account showing how the winding up has been conducted and the property of the company has been disposed of and to receive any explanation thereof by the liquidator.

To be proposed as an ordinary resolution:

That the liquidator be authorised to dispose of the books of the company as he thinks fit.
