Notice is given, pursuant to section 209C (4) of the Companies Act 1955, that the company proposes to amalgamate with Fujitsu New Zealand Limited.

The amalgamation of the two companies will be effective from 27 November 1996.

Copies of the amalgamation proposal are available for inspection at 119–123 Featherston Street, Wellington during normal business hours, by any member or creditor of the company or any other person to whom the company is under an obligation.

Upon request by any member or creditor of the company or any person to whom the company is under an obligation, a copy of the amalgamation proposal will be supplied free of charge.

Notice of Amalgamation of Companies

Take notice that not less than 30 days after the date of this notice, Rinnai New Zealand Limited (having its registered office and place of business at Auckland) and Rinnai Holdings (NZ) Limited (having its registered office and place of business at Auckland) propose to amalgamate and continue as one company (being Rinnai New Zealand Limited).

Such amalgamation is subject to compliance with all relevant requirements of Part VA of the Companies Act 1955 and those matters required by the amalgamation proposal to be completed to effect the amalgamation.

Copies of the amalgamation proposal are available for inspection by any member or creditor of either amalgamating company or any person to whom either amalgamating company is under an obligation at the registered offices of these companies being 691 Mount Albert Road, Royal Oak, Auckland.

A member or creditors of either amalgamating company or any person to whom either amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to either company.
