ELECTRO POWER LIMITED

NOTICE OF MEETING

NOTICE IS HEREBY GIVEN that the Annual General Meeting of the shareholders of Electro Power Limited will be held at the Registered Office of the Company, 158 The Terrace, Wellington, on Friday, the 28th day of September, 1979, at 2:30 p.m., for the following purposes:

To receive and adopt the Annual Report of the Directors, the Profit and Loss Account, and the Balance Sheet for the year ended 31 March 1979...
To declare a dividend...
To elect Directors...
To fix the remuneration of the Directors...
To reappoint Auditors and to authorise the Directors to fix their remuneration...
To consider and, if thought fit, to pass the following resolution which will be proposed as a Special Resolution:

"That the Articles of Association of the Company be altered in the manner set out in the proposed new Articles produced to the meeting and initialled by the Chairman for the purposes of identification."
General Business.

A member entitled to attend and vote is entitled to appoint a proxy to attend and, on a poll, to vote in his stead. A proxy need not be a member of the Company.

NOTICE IS HEREBY GIVEN that the Directors have declared a dividend of eight cents (8c) per share, payable on the 15th day of October, 1979, to all shareholders registered at the close of business on the 31st day of August, 1979.
