Notice of Approval of John H. Midgley to Act as a Statutory Supervisor

Pursuant to the Securities Act 1978, the Securities Commission hereby approves John H. Midgley, of Christchurch, chartered accountant, to act as a Statutory Supervisor, for the purposes of the Securities Act 1978, in respect of participatory securities in the form of units associated with the Karadean Court Resthome Complex offered by Karadean Holdings Limited (the “Issuer”) on the following terms and conditions:

(a) That the approval shall expire 7 years from the date of this notice;

(b) That John H. Midgley does not, while holding office as statutory supervisor, hold any appointment (including appointment as auditor) with Karen Ann Harris or Dean Victor Harris (the “Managers”) or in the Issuer or any director of the Issuer.

(c) That John H. Midgley is not, while holding office as statutory supervisor, an employee of the Manager, the Issuer or any director of the Issuer;

(d) That John H. Midgley does not, while holding office as statutory supervisor, control or have any right to control directly or indirectly the management of affairs of the Manager, the Issuer or any director of the Issuer;

(e) That while John H. Midgley holds office as statutory supervisor, no relationship exists between him and the Manager, the Issuer or any director of the Issuer that affects or is likely to affect adversely the exercise of his functions and powers as statutory supervisor;

(f) That while John H. Midgley holds office as statutory supervisor, he maintains professional indemnity insurance in respect of the exercise of his functions and powers as statutory supervisor which he regards as adequate on the basis of independent expert advice.

Conservation Act 1987

Declaring Land to be Held for Conservation Purposes

Pursuant to section 7 (1) of the Conservation Act 1987, the Minister of Conservation and the Minister of Lands, being the Minister responsible for the Department of State that has control of the land described in the Schedule hereto, hereby jointly declare that the land is held for conservation purposes and it shall hereafter be so held.

31.7213 hectares, more or less, being Sections 55, 57 and 59, Block VI, Otara Survey District.

Declaring Land to be Held for Conservation Purposes Together With a Declaration That the Area Become a Local Purpose (Urupa) Reserve

Pursuant to section 7 (1A) of the Conservation Act 1987, the Minister of Conservation declares that the land described in the Schedule hereto is held for conservation purposes, and pursuant to section 8 (1A) of the Act, the Minister of Conservation further declares that the conservation area shall hereafter be set apart as a reserve subject to the Reserves Act 1977 and classified as a local purpose (urupa) reserve subject to the provisions of section 23 (1) of the latter Act.
