Notice of Intention to Restore to the Register of Companies

Take notice that the Registrar of Companies at Wellington proposes to restore the above-named companies to the Register of Companies.

The Registrar proposes to act, under section 303 (1)(a) of the Companies Act 1955, on the grounds that the companies were still carrying on business at the time they were removed from the Register.

Public Notice of the Proposed Amalgamation

1. It is proposed that CIGNA Insurance amalgamate with CIGNA Reinsurance, pursuant to section 209A of the Companies Act 1955.

2. Details of the proposed amalgamation between CIGNA Insurance and CIGNA Reinsurance are contained in the amalgamation proposal which is available for inspection during normal business hours by any member or creditor of either CIGNA Insurance or CIGNA Reinsurance or any person to whom either of these companies is under an obligation, at either:

   Level 1G, Monarch House, 345 Queen Street, Auckland (being the registered office of CIGNA Insurance), or:

   Eighteenth Floor, Price Waterhouse Centre, 66 Wyndham Street, Auckland (being the registered office of CIGNA Reinsurance).

3. Members or creditors of either CIGNA Insurance or CIGNA Reinsurance or any person to whom either of these companies is under an obligation, are entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to either CIGNA Insurance or CIGNA Reinsurance. Any such request should be addressed to the registered office of either company.
