Notice of Intention to Remove Company From Register

In the matter of the Companies Act 1955 (as amended), and
in the matter of Asia Media Services Limited (in liquidation):

Notice is hereby given in pursuance of section 295 of the Companies Act 1955 (as amended), that:

(a) It is intended that the above-named company be removed from the Register under section 293 (1) (e), on the grounds that the liquidator has sent to the Registrar the documents referred to in section 231 (1) (a) of the Act.

(b) Any objection to the removal, under section 296, must be lodged with the Registrar together with the grounds for such objection no later than 30 November 1995.

Notice of Intention to Apply for Removal of the Above Company From the Register

Notice is hereby given that Value Tours (Methven) Limited, the undersigned applicant, proposes to apply to the Registrar of Companies at Christchurch, pursuant to section 293 (1) (d) (i) of the Companies Act 1955, for the removal of Value Tours Limited, whose registered office is situated at Ashburton Road, Methven, from the New Zealand Register on the grounds that the company has ceased to carry on business, has discharged in full its liabilities to all its known creditors and has distributed its surplus assets in accordance with its memorandum and articles of association and the Companies Act 1955.

Unless written objection to such removal, pursuant to section 296 of the Act, is sent or delivered to the Registrar at Christchurch by the 30th day of November 1995 (being a date not less than 28 days after the date of this notice), the Registrar may remove the company from the Register.

Notice of Proposed Resolution to Alter Memorandum of Association

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to pass by an entry in the minute book of the company as provided by section 362 of the Companies Act 1955, in lieu of a general meeting of the members of Carter Holt Harvey Overseas Limited the following special resolution:

“That the memorandum of association of the company be altered by adopting the following memorandum of association in place of the existing memorandum of association of the company:

1. The name of the company is Carter Holt Harvey Overseas Limited.

2. The company is a private company.

3. The liability of the members is limited.

4. The capital of the company is $10,000 divided into 10,000 shares of $1.00 each.

That the company shall henceforth have the rights, powers and privileges of a natural person including (without limiting the generality of the foregoing) the powers referred to in subsections (a) to (h) of section 15A (1) of the Companies Act 1955).”
