Notice of Resolution for Voluntary Winding Up and Notice of Meeting of Creditors

In the matter of the Companies Act 1955, and in the matter of Carelli Holdings Limited:

Notice is hereby given that by a duly signed entry in the minute book of the above-named company, pursuant to section 362 (1) of the Companies Act 1955, on the 29th day of January 1993, the following extraordinary resolution was passed by the company:

"That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that accordingly, the company be wound up voluntarily."

Notice is hereby given that a meeting of creditors of the above-named company is to be held on the 10th day of February 1993 at 4.30 p.m. at the offices of Horwath Brannigan McCullagh & Co., Level Ten, Barclays House, 70 Shortland Street, Auckland.

Forms of general and special proxies are available from the office of the provisional liquidator, Horwath Brannigan McCullagh & Co. Level Ten, Barclays House, 70 Shortland Street (P.O. Box 3678), Auckland.

Proxies to be used at the meeting must be lodged at the office of the provisional liquidator no later than 4.30 p.m. on the 10th day of February 1993.

Notice is hereby given that by a duly signed entry in its minute book of the above-named company, pursuant to section 362 (9) of the Companies Act 1955, on the 20th day of January 1993, the following extraordinary resolution was passed:

"That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and accordingly, the company be wound up voluntarily and that Simon Hugh Withers, chartered accountant, has been appointed provisional liquidator of the company."

Notice is hereby given that a meeting of the creditors of the above-named company is to be held on Thursday, the 4th day of February 1993 at Buffalo Lodge, Mangaorototo at 12.30 p.m.

The official assignee has reported to the High Court the results of the first meetings of creditors and contributories of the above-named company as regards the nomination of a liquidator and committee of inspection.
