Notice of Resolution for Voluntary Winding Up

In the matter of section 269 of the Companies Act 1955, and in the matter of Fraise Properties Limited:

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 11th day of August 1993, the following special resolution was passed by the company:

“That the company be wound up voluntarily, pursuant to section 268 of the Companies Act 1955, and that Anthony John McCullagh and Peter John Brannigan, chartered accountants of Auckland, be appointed joint and several liquidators.”

“That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly, the company be wound up voluntarily.”

In the matter of the Companies Act 1955, and in the matter of Birds Eye Foods New Zealand (1983) Limited,

Continental New Zealand Limited, Faberge (New Zealand) Limited and Unilever New Zealand Export Merchants Limited:

Notice is hereby given that by duly signed entries in the minute books of the above-named companies on the 12th day of August 1993, the following special resolution was passed by each company, namely:

“That the company, having filed a declaration of solvency, pursuant to section 274 of the Companies Act 1955, be wound up voluntarily.”

Note: The companies are solvent and the winding up is part of a reorganisation of the affairs of the shareholder being Unilever New Zealand Limited.

Notice of Last Day to Prove Debts or Claims

Notice is given that as the liquidators of the above-named companies, which are being wound up voluntarily, we fix the 9th day of September 1993, as the day on or before which the creditors of the companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
