Notice of Appointment of Receivers and Managers

Pursuant to Section 346 (1) of the Companies Act 1955

UDC Finance Ltd., hereby gives notice that on the 10th day of June 1991, Anthony George Lewis of Wellington, chartered accountant and Ian McCallum Hercus of Wellington, chartered accountant, have been appointed jointly as receivers and managers of Bacchus Foods Ltd. under and by virtue of the provisions of a debenture dated the 30th day of August 1985 and given in favour of UDC Finance Ltd.

The office of the receivers is at the offices of Coopers & Lybrand, Chartered Accountants, 113–119 The Terrace, P.O. Box 243, Wellington.

The property in respect of which the said receivers and managers have been appointed is all the undertaking, property and assets of the said Bacchus Foods Ltd. including its uncalled and unpaid capital.

Foodstuffs (Auckland) Ltd., a duly incorporated company having its registered office at Auckland, hereby gives notice that on the 7th day of June 1991, it appointed Lyall Walton Brown of Auckland, chartered accountant, as receiver and manager of the property of Speedi Form No. 14 Ltd under the powers contained in a debenture dated the 25th day of May 1989, which property consists of all the undertaking, goodwill and assets relating to the operation of the grocery business carried on by the said Speedi Form No. 14 Ltd.

Prudential being the beneficial owner of the debenture hereby appoints Kevin Michael Thomas, partner in Coopers & Lybrand, Chartered Accountants, Fifteenth Floor, Robert Jones House, 764 Colombo Street (P.O. Box 13-244), Christchurch, to be receiver and manager of the company, pursuant to clause 38 of the debenture.

The receiver and manager is appointed in respect of all the property and undertaking of the company and shall hold office with the powers and subject to the provisions set out in the conditions endorsed on the said debenture.
