Notice of Intention to Alter Memorandum of Association

Take notice that it is the intention of the above-named company after 21 days from the date of publication of this notice to alter its memorandum of association by special resolution under section 362 of the Companies Act 1955. The alteration will omit the provisions with respect to the objects and powers of the company so that the company shall have the rights, powers and privileges of a natural person.

Notice of Proposed Resolution to Alter Memorandum of Association

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to pass by an entry in the minute book of the company in lieu of a general meeting of the members of Daily Freightways Ltd., the following special resolution:

"That the memorandum of association of the company be altered by:

(i) Deleting from clause 1 the words ‘A. J. Keith Ltd.’ and inserting ‘Daily Freightways Ltd.’;

(ii) Omitting clause 3 and consequently renumbering clauses 4 and 5; and

(iii) Amending clause 5 (renumbered as clause 4) by deleting the words ‘two thousand pounds (£2,000) divided into 2000 shares of £1 each’ and inserting ‘one million dollars ($1,000,000) divided into 500 000 shares of two dollars ($2) each’,

and that the company shall have the rights, powers and privileges of a natural person including (without limiting the generality of the foregoing) the powers referred to in subsections (a) to (h) of section 15A (1) of the Companies Act 1955."
